Aggregate Cap definition

Aggregate Cap has the meaning set forth in Section 20.1A.
Aggregate Cap means (x) with respect to any four fiscal quarter period through and including the four fiscal quarter period ended after the consummation of the Empire Acquisition, 20% and (y) thereafter, 15%, in each case, of Consolidated EBITDA for the relevant Test Period (calculated prior to giving effect to any add-backs subject to the Aggregate Cap).
Aggregate Cap means *** U.S. Dollars (U.S.$***).

Examples of Aggregate Cap in a sentence

  • The Aggregate Cap shall increase by 5% in each subsequent production year of each such television series (i.e., the fee shall be $26,250 for the second production year, $27,500 for the third production year, etc.).

  • For any other television series, a fair market value license fee and producing fee (but not more than the Aggregate Cap), to be determined by Marvel and SPE pursuant to good faith negotiation, or determined by arbitration under the procedures set forth in Section 24.b below if SPE and Marvel are unable to agree within 30 days after either party requests to commence negotiations following SPE’s initial production commitment.

  • Amounts paid by Contractor that are over the "Financial Limitations Through Aggregate Cap" will be reconciled with the County on a quarterly basis.
