Additional Shares of Ordinary Shares means all Ordinary Shares issued (or, pursuant to the Section 3.5.6 (Deemed Issue of Additional Shares of Ordinary Shares), deemed to be issued) by the Company after the Series A Original Issue Date, other than (1) the following shares of Ordinary Shares and (2) Ordinary Shares deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):
Additional Shares of Ordinary Shares means all shares of Ordinary Shares issued by the Company after the Effective Date, other than Warrant Stock.
Additional Shares of Ordinary Shares means all shares of Ordinary Shares issued by the Company, or Deemed Issuance as provided in Section 5.5(c), whether or not subsequently reacquired or retired by the Company, other than:

Examples of Additional Shares of Ordinary Shares in a sentence

  • The consideration for any Additional Shares of Ordinary Shares issuable pursuant to any warrants or other rights to subscribe for or purchase the same shall be the consideration received by the Company for issuing such warrants or other rights plus the additional consideration payable to the Company upon exercise of such warrants or other rights.

  • In case of the issuance at any time of any Additional Shares of Ordinary Shares or Convertible Securities in payment or satisfaction of any dividends upon any class of stock other than Ordinary Shares, the Company shall be deemed to have received for such Additional Shares of Ordinary Shares or Convertible Securities a consideration equal to the amount of such dividend so paid or satisfied.

  • No adjustment in the Conversion Price for any series of Series A Shares shall be made in respect of the issuance of Additional Shares of Ordinary Shares (as defined in Section 5.4) unless the consideration per share for Additional Shares of Ordinary Shares issued or deemed to be issued by the Company is less than the Conversion Price for such series in effect on the date of and immediately prior to such issuance.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;

  • Additional Shares of Common means all shares of Common Stock issued (or, pursuant to Section 3(e)(iii), deemed to be issued) by the Corporation after the Original Issue Date, other than shares of Common Stock issued or issuable:

  • shares of Common Stock means (i) the class of stock designated as the Common Stock of the Company at the date of this Agreement, or (ii) any other class of stock resulting from successive changes or reclassifications of such shares consisting solely of changes in par value, or from par value to no par value, or from no par value to par value. In the event that at any time, as a result of an adjustment made pursuant to paragraph (a) above, the Warrant Holders shall become entitled to purchase any securities of the Company other than shares of Common Stock, thereafter the number of such other securities so purchasable upon exercise of each Warrant and the Exercise Price of such securities shall be subject to adjustment from time to time in a manner and on terms as nearly equivalent as practicable to the provisions with respect to the Warrant Shares contained in paragraphs (a) through (i), inclusive, above, and the provisions of Section 7 and Section 12.2 through 12.5, inclusive, with respect to the Warrant Shares, shall apply on like terms to any such other securities.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • New Ordinary Shares means the new Ordinary Shares arising on Conversion of the C Shares;

  • Original Shares means, when used in reference to any one or more Stockholders, the Shares held by such Stockholder on November 30, 2010, or any shares or other securities into which or for which such Shares may have been converted or exchanged in connection with any exchange, reclassification, dividend, distribution, stock split, combination, subdivision, merger, spin-off, recapitalization, reorganization or similar transaction.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Common Shares means the common shares in the capital of the Corporation;

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Parent Ordinary Shares means the ordinary shares, no par value per share, of Parent.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred shares, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • Capital Shares Equivalents means any securities, rights, or obligations that are convertible into or exchangeable for or give any right to subscribe for any Capital Shares of the Company or any warrants, options or other rights to subscribe for or purchase Capital Shares or any such convertible or exchangeable securities.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;
