Additional Ordinary Shares definition

Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

Additional Ordinary Shares means all Ordinary Shares (including reissued shares) issued (or, pursuant to Section 1.4(c) hereof, deemed to be issued) by the Company after the Series E Original Issue Date, other than:

Additional Ordinary Shares means Ordinary Shares issued by the Borrower following the issuance of the Subscribed Ordinary Shares;

• Any Additional Ordinary Shares to be issued or transferred and delivered pursuant to Condition 5(c) will be deemed to be issued or delivered as of the relevant Reference Date.

• Ordinary Shares or, as the case may be, Additional Ordinary Shares will not rank for (or, as the case may be, the relevant holder shall not be entitled to receive) any rights, distributions or payments the record date or other due date for the establishment of entitlement for which falls prior to the relevant Conversion Date or, as the case may be, the relevant Reference Date.

• Such Ordinary Shares or, as the case may be, Additional Ordinary Shares will not rank for (or, as the case may be, the relevant holder shall not be entitled to receive) any rights, distributions or payments the record date or other due date for the establishment of entitlement for which falls prior to the relevant Conversion Date or, as the case may be, the relevant Reference Date.

• A Bondholder exercising Conversion Rights must pay directly to the relevant authorities any capital, stamp, issue and registration and transfer taxes and duties arising on conversion (other than any capital, stamp, issue, registration and transfer taxes and duties payable in the United Kingdom in respect of the issue or transfer and delivery of any Ordinary Shares in respect of such exercise (including any Additional Ordinary Shares), which shall be paid by the Issuer).

• Any Additional Ordinary Shares to be issued or transferred and delivered pursuant to Condition 6(c) will be deemed to be issued or transferred and delivered as of the relevant Reference Date.

More Definitions of Additional Ordinary Shares

Additional Ordinary Shares means all ordinary shares issued (or deemed to be issued) by the Company other than the following ordinary shares and ordinary shares deemed issued pursuant to the following Options and Convertible Securities, which we refer to collectively as Exempted Securities:

Additional Ordinary Shares means all Ordinary Shares issued by the Company or deemed to be issued pursuant to this subsection (f), other than Excluded Issuances (as defined in subsection (g) hereof). For purposes of this subsection (f), the following subsections (f)(l) to (f)(6) shall also be applicable (subject, in each such case, to the provisions of subsection (g) hereof) and to each other subsection contained in this subsection (f):

Additional Ordinary Shares means all Ordinary Shares issued by the Company (including all Ordinary Shares issuable upon an exercise, conversion or exchange of Ordinary Share Equivalents issued or granted by the Company); provided that the term “Additional Ordinary Shares” does not include (i) Employee Compensation Share; (ii) securities issued upon conversion of the Preferred Shares; (iii) securities issued as a dividend or distribution on the Preferred Shares; (iv) securities issued in connection with any share split, share dividend, combination, recapitalization or other similar transaction of the Company; or (v) warrants or options to purchase securities granted to strategic partners of the Company in connection with mergers and acquisitions of other companies.

Additional Ordinary Shares means all Ordinary Shares issued (or, pursuant to Article 21(e)(iii) below, deemed to be issued) by the Company after the relevant Original Issue Date, other than (1) the following Ordinary Shares and (2) Ordinary Shares deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

Additional Ordinary Shares means all Ordinary Shares issued (or, pursuant to Section 1.5(c), deemed to be issued) by the Company after the date of the first sale and issuance of the Series A Shares (the “Series A Original Issue Date”), other than:

Additional Ordinary Shares means all Ordinary Shares issued (or, pursuant to Article 16(g)(iii), deemed to be issued) by the Company after the Series C Original Issue Date, other than Ordinary Shares issued or issuable (or pursuant to Article 16(g)(iii), deemed to be issued).
