2014 Amendment Effective Date definition

2014 Amendment Effective Date means October 14, 2014.

2014 Amendment Effective Date means the date on which the conditions precedent set forth in Section 7 of the 2014 Term Facility Amendment Agreement are first satisfied, which date is April 15, 2014.

2014 Amendment Effective Date shall refer to such date that constitutes the “Effective Date” set forth in that certain Third Letter Agreement relating to certain amendments of and waivers under this Agreement, dated as of February 21, 2014 (the “Third Letter Agreement”), among the Company, Singapore Borrower, the Lenders party thereto and the Administrative Agent.”

• For the avoidance of doubt, all Letters of Credit outstanding on the 2014 Amendment Effective Date shall remain outstanding as Letters of Credit under this Agreement.

• The Borrower shall repay to the Tranche C Term Administrative Agent for the ratable account of the Tranche C Lenders the aggregate principal amount of all Tranche C Term Loans in twenty-eight (28) consecutive quarterly installments, the first twenty-seven (27) of which shall be in the amount of 0.25% of the total funded Tranche C Term Loans as of the 2014 Amendment Effective Date and the last of which shall be in the aggregate principal amount of such Tranche C Term Loans then outstanding.

• The terms of the particular Transactions to which this Confirmation relates are as follows: General Terms: Trade Date: June 26, 2014 Effective Date: June 26, 2014 Amendment Effective Date: August 25, 2014 Scheduled Termination Date: The latest date for the final scheduled payment (or, if there is only one scheduled payment, for the scheduled payment) of principal of any Reference Obligation at any time included in the Reference Portfolio.

• On the date of the Term Borrowings to be made on the 2014 Amendment Effective Date, the Total Term Loan Commitment shall be automatically and permanently reduced to $0.

• The terms of the particular Transactions to which this Confirmation relates are as follows: General Terms: Trade Date: December 4, 2014 Effective Date: December 4, 2014 Amendment Effective Date: December 15, 2014 Scheduled Termination Date: The latest date for the final scheduled payment (or, if there is only one scheduled payment, for the scheduled payment) of principal of any Reference Obligation at any time included in the Reference Portfolio.

• The terms of the particular Transactions to which this Confirmation relates are as follows: General Terms: Trade Date: June 26, 2014 Effective Date: June 26, 2014 Amendment Effective Date: August 25, 2014 Second Amendment Effective Date: September 29, 2014 Scheduled Termination Date: The latest date for the final scheduled payment (or, if there is only one scheduled payment, for the scheduled payment) of principal of any Reference Obligation at any time included in the Reference Portfolio.

• Schedule 3.12 sets forth as of the 2014 Amendment Effective Date the name and jurisdiction of incorporation of each Subsidiary and, as to each such Subsidiary, the percentage of each class of Capital Stock owned by any Loan Party.

• The Borrower shall repay to the Tranche B Term Administrative Agent for the ratable account of the Tranche B Lenders the aggregate principal amount of all Tranche B Term Loans in sixteen (16) consecutive quarterly installments, the first fifteen (15) of which shall be in the amount of 0.25% of the total funded Tranche B Term Loans as of the 2014 Amendment Effective Date and the last of which shall be in the aggregate principal amount of such Tranche B Term Loans then outstanding.

• Section 10.13 of the Credit Agreement is hereby amended by replacing (i) the first occurrence of the phrase “Restructuring Closing Date” with the following phrase: “Restructuring Closing Date and/or the 2014 Amendment Effective Date or Special Provision Effective Date, as applicable” and (ii) the second occurrence of the phrase “Restructuring Closing Date” with the following phrase: “Restructuring Closing Date or the 2014 Amendment Effective Date or Special Provision Effective Date, as applicable”.
