The Administrative Agent shall have received (a) a certificate, dated as of the Ninth Amendment Effective Date and executed by an Authorized Officer of the Borrower, certifying that the condition in Section C.5 above has been satisfied on such date and (b) a duly executed and completed Borrowing Base Certificate dated as of the Ninth Amendment Effective Date.
The Administrative Agent shall have received a customary legal opinion of ▇▇▇▇▇▇ ▇▇▇▇▇▇ LLP, counsel to the Credit Parties, which opinion shall be (x) addressed to the Administrative Agent, the Collateral Agent and each Revolving Credit Lender party to the Credit Agreement (as modified hereby) as of the Ninth Amendment Effective Date, (y) dated as of the Ninth Amendment Effective Date and (z) in form and substance reasonably satisfactory to the Administrative Agent.
The parties hereto hereby agree that, on or about the Ninth Amendment Effective Date, the Borrower and the Administrative Agent, as the case may be, shall be permitted to take all actions, that are, in their reasonable discretion, necessary or advisable to consummate the transactions contemplated by this Ninth Amendment (including any prepayments and reborrowings (or deemed prepayments and reborrowings) of outstanding Revolving Credit Loans requested by the Administrative Agent).
The provisions of Sections A and B of this Ninth Amendment are deemed incorporated as of the Ninth Amendment Effective Date into the Credit Agreement as if fully set forth therein.
