The Borrowers hereby further agree to pay interest on the unpaid principal amount of the Loans from time to time outstanding from the Closing Date (or in the case of the Term B-3 Loans, from the Amendment No. 7 Effective Date) until payment in full thereof at the rates per annum, and on the dates, set forth in Section 2.15.
The aggregate of the amounts made available to the Administrative Agent by the Term B-3 Loan Lenders will promptly thereafter be made available to the Company by the Administrative Agent on the Amendment No. 7 Effective Date in like funds as received by the Administrative Agent.
The Company shall pay to the Administrative Agent, for the account of the Term B-3 Loan Lenders, on each Payment Date commencing with the Payment Date occurring on September 30, 2021, a principal amount of Term B-3 Loans equal to 0.25% of the aggregate principal amount of Term B-3 Loans made on the Amendment No. 7 Effective Date, as such amount may be reduced pursuant to Sections 2.11(b) and 2.12(h).
Subject to the terms and conditions hereof and of Amendment No. 7, the Term B-3 Loan Lenders severally and not jointly, agree to make term loans in Dollars (each, a “Term B-3 Loan”) to the Company on the Amendment No. 7 Effective Date pursuant to Amendment No. 7 in an amount for each Term B-3 Loan Lender not to exceed the amount of the Term B-3 Loan Commitment of such Lender.
Not later than 11:00 a.m., New York City time, on the Amendment No. 7 Effective Date, each Term B-3 Loan Lender shall make available to the Administrative Agent at the Funding Office on the Amendment No. 7 Effective Date an amount in immediately available funds equal to the Term B-3 Loan or Term B-3 Loans to be made by such Lender.
