Examples of Amendment No. 2 Effective Date in a sentence
After giving effect to certain borrowings and repayments occurring on the date hereof immediately prior to the Amendment No. 2 Effective Date, the parties hereto acknowledge and agree that, as of the date hereof, (i) the Credit Exposure of each Lender is set forth in Schedule 1 hereto, (ii) the outstanding principal amount of all outstanding Loans made by each of MUFG Bank, Ltd.
Issuer irrevocably authorizes each Purchaser to make or cause to be made, on or about the Closing Date, the Restatement Date, the Amendment No. 2 Effective Date or the Amendment No. 3 Effective Date (as the context may require) or at the time of receipt of any payment of principal on such Purchaser’s Note, an appropriate notation on such Purchaser’s Note (the “Purchaser’s Note Record”) reflecting the purchase of such Notes or (as the case may be) the receipt of such payment.
The Issuer shall make semi-annual payments of interest only on each Interest Payment Date, commencing (i) in the case of the Notes issued on the Restatement Date, on February 1, 2023, (ii) in the case of the Notes issued on the Amendment No. 2 Effective Date, on August 15, 2024, and (iii) in the case of the Notes issued on the Amendment No. 3 Effective Date, on February 15, 2025 and, in each case, continuing on each Interest Payment Date thereafter.
Schedule 2.2 hereto sets forth, with respect to each Purchaser, the aggregate principal amount of Notes to be held by each Purchaser on the Amendment No. 2 Effective Date following the issuance and sale of the Amendment No. 2 Notes.
Such interest shall accrue commencing on, and including, (A) in the case of the Initial Notes, the Closing Date, (B) in the case of the Amendment No. 2 Notes, the Amendment No. 2 Effective Date, and (C) in the case of the Amendment No. 3 Notes, the Amendment No. 3 Effective Date, and, in each case, shall accrue on the principal amount outstanding under the Notes through and including the day on which the Notes are paid in full (or any payment is made hereunder).
