Subject to the terms and conditions hereof, each 2024 Incremental Lender severally agrees to make, on the Third Amendment Effective Date, an Initial Term Loan to Borrower in an amount equal to such 2024 Incremental Lender’s Initial Term Loan Commitment.
Each applicable Lender shall fund its Pro Rata share of an Initial Borrowing in immediately available funds not later than 12:00 p.m. (Local Time) on the Second Amendment Effective Date or, Third Amendment Effective Date or Fourth Amendment Effective Date, as applicable.

Each Lender’s Initial Term Loan Commitment provided on the Third Amendment Effective Date shall terminate immediately and without further action on the Third Amendment Effective Date after giving effect to the funding of such 2024 Incremental Lender’s Initial Term Loan Commitment on such date.
