Amendment and Restatement Effective Date definition

Amendment and Restatement Effective Date means June 28, 2018, the date the amendments and restatements to the Plan of May 7, 2018 are subject to approval by the Company’s stockholders at the Company’s 2018 Annual Meeting.

Amendment and Restatement Effective Date means the date on which each of the conditions specified in Section 4(a) of the Incremental and Amendment and Restatement Agreement occur or have been waived, which date is November 7, 2016.

Amendment and Restatement Effective Date means the date of this Agreement.

• Prior to the making of the Term B-3 Loan and Revolving Loans (if applicable) on the Amendment and Restatement Effective Date, the Administrative Agent shall have received a Notice of Borrowing meeting the requirements of Section 2.03.

• In order to induce the Lenders to enter into this Agreement and to make the Loans and each Issuing Bank to make any Credit Extension, each of Holdings and the Borrower makes the following representations and warranties on the Amendment and Restatement Effective Date and, solely to the extent required pursuant to Section 7, in connection with each Credit Extension after the Amendment and Restatement Effective Date.

• Prior to or substantially concurrently with the Amendment and Restatement Effective Date, the Borrower shall have (i) prepaid all Term B-2 Loans outstanding immediately prior to the Amendment and Restatement Effective Date and (ii) paid to all Term B-2 Lenders all accrued and unpaid interest, fees or other outstanding amounts on their Term B-2 Loans outstanding immediately prior to, but not including, the Amendment and Restatement Effective Date.

Amendment and Restatement Effective Date means the date on which the conditions specified in Section 4.01 are satisfied (or waived in accordance with Section 10.02).

Amendment and Restatement Effective Date means the date on which the Amendment and Restatement Agreement became effective in accordance with the terms thereof.
