$1.00 Warrant definition

$1.00 Warrant means a warrant, substantially in the form attached hereto as Exhibit H, to purchase 1,000,000 unregistered shares of Common Stock, with an exercise price of $1.00 per share.
$1.00 Warrant means a warrant to purchase one share of Common Stock with an exercise price of $1.00 and a term expiring two years after the Closing Date.

Examples of $1.00 Warrant in a sentence

  • In no event may this Warrant be transferred and divided (without any exercise hereof) into any denomination(s) of less than 100 Warrant Shares.

  • The purchase rights evidenced by a Warrant Certificate shall be exercisable, at the election of the registered holder thereof, in whole or in part, but only for lots of 100 Warrant Shares or integral multiples thereof if less than all the Warrants then held by such registered holder are being exercised.

  • By way of example, in the event the Company implements a two-for-one stock split, the holder of a Warrant to purchase 100 Warrant Shares would, following such stock split, be entitled to purchase 200 Warrant Shares, and the Exercise Prices therefor set forth in Section 1.1 would each be halved; accordingly, a full exercise of said Warrant would result in a purchase of 200 Warrant Shares at an Exercise Price of $0.165 per Warrant Share, for an aggregate purchase price of $33.00.

  • Each unit related to the $0.50 Offering will consist of one Common Share and one half of one (1/2) $1.00 Warrant entitling the holder thereof to purchase one additional Warrant Share at a price of $1.00 per Warrant Share until May 18, 2023.

  • By way of example, in the event the Company implements a two-for-one stock split, the holder of a Warrant to purchase 100 Warrant Shares would, following such stock split, be entitled to purchase 200 Warrant Shares, and the Exercise Prices therefor set forth in Section 1.1 would each be halved; accordingly, a full exercise of said Warrant would result in a purchase of 200 Warrant Shares at an Exercise Price of $0.005 per Warrant Share, for an aggregate purchase price of $1.00.

  • Parent Warrant means each Parent Private Warrant and Parent Public Warrant.

  • SPAC Warrants means the SPAC Public Warrants and the SPAC Private Placement Warrants.

  • Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 9 months, in the form of Exhibit A attached hereto.

  • Warrant means this Warrant and all Warrants issued in exchange, transfer or replacement thereof.

  • Warrant Share Number means at any time the aggregate number of shares of Warrant Stock which may at such time be purchased upon exercise of this Warrant, after giving effect to all prior adjustments and increases to such number made or required to be made under the terms hereof.

  • Private Placement Warrants Purchase Agreement shall have the meaning given in the Recitals hereto.
