Xxxxxxxx-Xxxxx Act Requirements. To the extent any documents are required to be filed or any certification is required to be made with respect to the Issuer or the Notes pursuant to the Xxxxxxxx-Xxxxx Act, the Issuer hereby authorizes the Servicer and the Seller, or either of them, to prepare, sign, certify and file any such documents or certifications on behalf of the Issuer.
Xxxxxxxx-Xxxxx Act Requirements. USBFS agrees to comply with all applicable laws and regulations in the performance of its services pursuant to this agreement, including without limitation, federal securities laws and the Xxxxxxxx-Xxxxx Act. USBFS agrees to provide the Fund any records and certifications necessary for the Fund or the Manager to comply with the Xxxxxxxx-Xxxxx Act, including within limitation disclosure controls and procedures adopted in accordance with the Xxxxxxxx-Xxxxx Act. USBFS shall cooperate with the Fund, and its other service providers, as necessary by providing information to enable the officers of the Fund to execute any required certifications.
Xxxxxxxx-Xxxxx Act Requirements. To the extent any documents are required to be filed or any certification is required to be made with respect to the Trust or the Notes pursuant to the Xxxxxxxx-Xxxxx Act , the Seller shall prepare and execute any such document or certification and is authorized to file such document or certification on behalf of the Trust.
