Common use of Walkthrough Clause in Contracts

Walkthrough. Upon receipt of the Residence Substantial Completion Certificate for the Residence, Purchaser and Seller shall schedule a joint walk-through inspection of the Residence at any time prior to Closing (the “Walkthrough”). If Purchaser and Seller are unable to agree a mutually convenient time, Seller shall set the time of the Walkthrough and provide Purchaser with a minimum of fifteen (15) days notice of such time. Purchaser shall be free to attend the Walkthrough or to nominate a representative to attend in Purchaser’s place. If Purchaser does not attend or nominate a representative, Seller shall appoint an independent inspector to represent the Purchaser at the Walkthrough. As a result of such Walkthrough, Seller and Purchaser (or Purchaser’s representative or independent inspector as applicable) shall agree on all remaining works to be performed in order to complete the Residence in accordance with the Plans and Specifications (the “Punch List”). A detailed description of the Punch List work shall be included in a “Punch list Memorandum” prepared by the Seller. All work required pursuant to the Punch List Memorandum that cannot be completed prior to Closing shall be completed by Seller as soon as commercially reasonable following Closing, depending on the scope of the work indicated and may not be used as a reason to delay Closing. Purchaser agrees to give designated representatives of Seller access to the Residence, on reasonable notice, to complete the Punch List work. Seller shall not be responsible for any additional work not specified in the Punch List Memorandum. Purchaser’s acceptance of the Residence at Closing shall not be deemed a waiver of Purchaser’s right to have the Punch List items remedied at Seller’s sole expense.
