WAGES AND OTHER COMPENSATION. Except as provided in Section 7.04, Seller shall retain all Liabilities to pay all Transferred Employees (other than Transferred Employees at the Purchased Subsidiaries) all wages, salaries, commissions and other compensation earned or accrued through the Effective Time, and Buyer shall have no Liability for any unpaid wages, salaries, bonuses, commissions or other compensation earned or accrued prior to the Effective Time.
