Valid Amendment. The parties acknowledge that this Amendment complies in all respects with SECTION 10.8 of the Loan Agreement, which sets forth the requirements for amendments thereto.
Valid Amendment. This Amendment is made in accordance with Section 11.10 of the Merger Agreement and constitutes an integral part thereof.
Valid Amendment. The parties acknowledge that, when executed and delivered by the Borrower, the Agent and the Required Lenders, this Amendment complies in all respects with SECTION 10.8 of the Credit Agreement, which sets forth the requirements for amendments thereto. (signatures begin next page)
Valid Amendment. The parties hereto hereby agree and acknowledge that this Agreement is a valid amendment to the Affiliated Stockholders’ Agreement for purposes of Section 6 thereof.
Valid Amendment. The parties acknowledge that this Amendment complies in all respects with Section 8.2 of the Credit Agreement, which sets forth the requirements for amendments thereto.
Valid Amendment. No change in this Contract shall be valid, unless approved by an officer of CHL and evidenced by endorsement on this Contract and/or by amendment to this Contract and agreed to, in writing, by You, as required in accordance with regulations promulgated according to the State of Nevada and federal guidelines. Such amendment will be incorporated into this Contract.
Valid Amendment. This Amendment is made in accordance with Section 4.3 of the Governance Agreement and constitutes an integral part thereof.
Valid Amendment. Each party represents and warrants to the other parties that this Amendment has been duly authorized, executed and delivered by it and constitutes a valid and legally binding agreement with respect to the subject matter contained herein.
Valid Amendment. The parties acknowledge that the amendments to the Credit Agreement effected by this Amendment comply in all material respects with Section 11.6 of the Credit Agreement, which sets forth the requirements for amendment thereto.
Valid Amendment. This Amendment is made in accordance with Section 5.5 of the Securities Purchase Agreement and constitutes an integral part thereof.
