Use of Subscription Service. Use of the Subscription Service and Software is limited to Customer’s own internal business purposes related to off-site HIPAA cloud backup solutions for the recovery of Customer’s own data in the event of cyber-attacks, hardware failure, and/or catastrophic events at the authorized Locations. Customer is granted the right to authorize User(s) to access and use the Subscription Service, for the sole benefit of Customer’s business. Customer and Users are authorized to use the Software only as part of the Subscription Service, except as otherwise specifically set forth in these Terms or in the terms of use for a particular Software product.

Use of Subscription Service. Subject to the terms and conditions of this Agreement, Kobiton grants Customer a nonexclusive, nontransferable, nonsublicensable license to use the Subscription Service solely to conduct internal test execution and management operations on Customer’s Apps. The Subscription Service allows Customer to manage the number and type of mobile devices with which Customer may conduct Customer’s App testing and allows Customer to select use of multi-tenant devices or dedicated devices. Customer may also access and use the Documentation that accompanies the Subscription Service solely in connection with Customer’s use of the Subscription Service.

  • Subscription Service PROS warrants that during the Subscription Term, the Subscription Service will conform in all material respects to the functional specifications set forth in the Documentation. Customer's sole and exclusive remedy will be the deployment of a corrected version of the PROS software application that is the object of the Subscription Service, or provision of a workaround, provided however if PROS fails to provide such remedy after using commercially reasonable efforts, Customer may exercise its rights herein for breach of contract, including, but not limited to, termination pursuant to Section 10.2.

  • Subscription Services We grant You a right to use the Genesys Cloud Service in accordance with this Agreement and the applicable product descriptions found in the Services Order.

  • Term of Subscriptions The Initial Subscription of each Subscription is set out on the relevant Order Form and starts on the earlier of: (a) the date a User first accesses the Service; or (b) the start date set out on the relevant Order Form. SUBSCRIPTIONS AUTOMATICALLY RENEW FOR A FURTHER 12-MONTH PERIOD (A RENEWAL) UNLESS EITHER PARTY HAS GIVEN THE OTHER NOT LESS THAN 60 CALENDAR DAYS’ NOTICE PRIOR TO ITS EXPIRY TO CANCEL IT ON EXPIRY. If Renewed before expiry any increase in Fees will be limited to the then rate of the UK Consumer Price Index plus 5% (unless We provide you, either directly or through a Reseller, with notice of a different increase at least 90 days’ prior to the Renewal date). This restriction will not: (a) limit any increase caused by changes in the number or type of Subscriptions; or (b) apply to a Subscription Renewed after its expiry. We do not commit to offering promotional discounts on Renewals. If you look to reduce your Subscriptions, or the length of your Renewal from those during the immediately prior Initial Subscription or Renewal (as applicable), this may result in re-pricing without regard to your current per-Subscription pricing. Notices may be given by Us by email or electronically submitted invoice or notice.

  • Software Subscription The Term of any Software Subscription shall automatically renew for an additional Subscription License Term unless written notice of termination is given to the other Party three (3) months prior to the expiration of the then-current Term.

  • Software Subscription Lifecycle During the life cycle of Red Hat Software, the scope of Software Maintenance and Support evolves and, after a number of years, we discontinue Software Maintenance and Support for older versions of Software. The details of the Software Maintenance and Production Support life cycle are set forth at xxxxx://xxxxxx.xxxxxx.xxx/support/policy/update_policies.html. If available, you may purchase Extended Update Support and/or Extended Life Cycle Support, as described in Exhibit 1.G, to extend your Subscription Services for certain versions of Software.

  • Software Subscription Use Case Red Hat Storage Server for On- Premise Red Hat Storage Server for On-Premise is intended to be used as a storage system and will be supported only when used as a storage node. Red Hat Storage Server is not supported on non- server hardware such as desktops or workstations. Red Hat Storage Server for On-Premise is intended for use on a dedicated System, Physical Node, Virtual Node or Virtual Guest; running other applications and/or programs of any type on the System, Physical Node, Virtual Node or Virtual Guest can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage Server for Public Cloud Red Hat Storage Server for Public Cloud is intended to be used as a storage system and will be supported only when used as a storage node. When running in Amazon Web Services, an EC2 M1 Large dedicated instance is required in order to be supported. Running other applications and/or programs of any type on the same instance can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage for Red Hat Enterprise Linux OpenStack Platform Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended to be used as a storage system with Red Hat Enterprise Linux OpenStack Platform and will be supported only when used as a storage node. Red Hat Storage Server is not supported on non-server hardware such as desktops or workstations. Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended for use on a dedicated Physical Node; running other applications and/or programs of any type on the Physical Node can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server.

  • Purchase of Services Customer agrees to purchase the following products and/or services as further defined below in the quantity and for the prices described in Exhibit 1, which is attached hereto and incorporated herein, and as further listed in the accompanying Order Form prepared and provided by SUDS or DRB (the “Order Form”).

  • Use of Services Mobile Banking will not work unless you use it properly. You accept responsibility for making sure that you understand how to use Mobile Banking before you actually do so, and you use Mobile Banking in accordance with any online instructions posted on our website. You also accept responsibility for making sure that you know how to properly use your wireless device and the Mobile Banking software ("Software") required to use the Service. The Software is provided by a service provider not affiliated with the Credit Union and you are solely responsible for entering a license agreement to use the software. We will not be liable to you for any losses caused by your failure to properly use the Mobile Banking service, the Software or your wireless device. You may experience technical or other difficulties related to the Mobile Banking service that may result in loss of data, personalization settings or other Mobile Banking service interruptions. We assume no responsibility for the timeliness, deletion, misdelivery or failure to store any user data, communications or personalization settings in connection with your use of the Mobile Banking service. We assume no responsibility for the operation, security, or functionality of any wireless device or mobile network which you utilize to access the Mobile Banking service. Financial information shown on the Mobile Banking service reflects the most recent account information available through the Mobile Banking service.   • Shipping must be Freight On Board Destination to the delivery location designated on the Customer purchase order The Contractor will retain title and control of all goods until delivery is completed and the Customer has accepted the delivery. All risk of transportation and all related charges are the responsibility of the Contractor. The Customer will notify the Contractor and H-GAC promptly of any damaged goods and will assist the Contractor in arranging for inspection. The Contractor must file all claims for visible or concealed damage. Unless otherwise stated in the Agreement, deliveries must consist only of new and unused merchandise.

  • ADDITIONAL USER SUBSCRIPTIONS 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement.
