Undertakings of the Seller. 4.1.1 Except so far as may be necessary to give effect to this Agreement, the Seller undertakes to procure and ensure that, between the date of this Agreement and Closing, except with the prior written consent of the Purchaser (which consent shall not be unreasonably withheld or delayed), the Seller shall comply with the pre-closing covenants as set out in Schedule 2 (“Pre-Closing Covenants”).
