Transition; Offices and Duties. Effective as of April 9, 2018 (the “Transition Date”), the defined term “Executive” and all uses of it in the Agreement shall be replaced with the term “Employee”. Effective upon the Transition Date, Section 3 of the Agreement shall be deleted in its entirety and replaced with the following: “During the Term, Employee will serve as Compliance Advisor to the Chief Executive Officer. In such capacity, Employee shall report to the Chief Executive Officer and shall perform such duties and shall have such responsibilities as may be assigned to Employee from time to time by the Chief Executive Officer. Employee’s functions, duties and responsibilities are subject to reasonable changes as the Company may in good faith determine. Employee hereby agrees to accept such employment and to serve the Company to the best of his ability in such capacities, devoting substantially all of his business time to such employment. For the avoidance of doubt, a part-time or adjunct teaching position will not be considered to be done on business time.” Upon the Transition Date, Employee shall no longer serve as an officer or director of any subsidiary or affiliate of the Company, and agrees to relinquish all such positions and titles he currently holds effective upon the Transition Date.
