To the Knowledge of the Seller neither the Seller nor any director, agent, employee or consultant or other independent contractor of the Seller or any of its Affiliates is a party to, or is otherwise bound by, any Contract, including any confidentiality, non-competition or proprietary rights agreement, with any other Person that in any way would materially affect (a) the performance of his or her duties for the Seller or its Affiliates in connection with the Business or the operation of the Transferred Assets of the Business; (b) his or her ability to assign to the Seller or its Affiliates rights to any invention, improvement, discovery or information relating to the Business; or (c) the ability of the Seller or its Affiliates to conduct the Business or the operation of the Transferred Assets of the Business as currently conducted or as currently proposed to be conducted.

  • Knowledge of Seller Where any representation or warranty contained in this Agreement is expressly qualified by reference to knowledge, Seller confirms that it has made or caused to be made due and diligent inquiry as to the matters that are the subject of such representations and warranties.

  • Schedules; Knowledge Each party is presumed to have full knowledge of all information set forth in the other party's schedules delivered pursuant to this Agreement.

  • Knowledge of the Company The term “Knowledge of the Company” shall mean the actual knowledge of the Company and the Sellers, with respect to the matter in question, and such knowledge as any of them reasonably should have obtained upon commercially reasonable inquiry of employees and contractors of the Company into the matter in question.
