Title to Trust. Property and Lien of this Deed of Trust. Trustor has good, marketable and indefeasible fee simple title to the Land and the Buildings, and has good, marketable and indefeasible title to the Fixtures, the Personalty and the other Trust Property. The Trust Property is free and clear of any and all Liens, charges, encumbrances, security interests and adverse claims whatsoever, except for (i) all Liens, charges, encumbrances, security interests and adverse claims specifically identified as exceptions on Schedule B of the policy of title insurance accepted by Beneficiary in connection herewith or (ii) those Liens set forth in Section 5.08 of the Credit Agreement.

Title to Trust. Property and Lien of this Instrument. Grantor owns the Trust Property free and clear of any liens, claims or interests other than Permitted Liens (as defined in the Credit Agreement). This Deed of Trust creates valid, enforceable first priority liens and security interests against the Trust Property, subject only to the Permitted Liens.
Title to Trust. Property Legal title to all the Owner Trust Estate shall be vested at all times in the Trust as a separate legal entity except where applicable law in any jurisdiction requires title to any part of the Owner Trust Estate to be vested in a trustee or trustees, in which case title shall be deemed to be vested in the Owner Trustee, a co-trustee and/or a separate trustee, as the case may be. Any such trustee shall take such part of the Owner Trust Estate subject and subordinate to the security interest of the Indenture Trustee therein established under the Indenture, and such trustee's acceptance of its appointment shall constitute acknowledgment of such security interest.
