The Retailer Sample Clauses
The 'Retailer' clause defines the role, responsibilities, and obligations of the retailer within the context of the agreement. It typically outlines what the retailer is authorized to do, such as selling or distributing certain products, and may specify requirements like maintaining inventory levels, adhering to branding guidelines, or reporting sales data. By clearly delineating the retailer's duties, this clause ensures both parties understand their expectations, reducing the risk of disputes and promoting smooth business operations.
The Retailer. The Retailer:
(a) will not knowingly do or omit to do anything, or cause any person to do or omit to do anything, that is inconsistent with the obligations of the Consumer or the Distributor under any Distributor’s Agreement. However, the technical requirements in a Distributor’s Agreement may differ from the technical requirements in relation to Distribution Services set out in this agreement, if the Distributor has given the Retailer reasonable notice of those requirements; and
(b) acknowledges that the Distributor will be entitled to terminate any Distributor’s Agreement in accordance with its terms.
The Retailer. 1.1.5.1 is unable or admits inability to pay its debts as they fall due;
1.1.5.2 suspends making payments on any of its debts; or
1.1.5.3 by reason of actual or anticipated financial difficulties, commences negotiations with one or more of its creditors with a view to rescheduling any of its indebtedness;
The Retailer. 1.6.2.1 is unable or admits inability to pay its debts as they fall due; or
1.6.2.2 suspends making payments on any of its debts; or
1.6.2.3 by reason of actual or anticipated financial difficulties, commences negotiations with one or more of its creditors with a view to rescheduling any of its indebtedness; or
1.6.2.4 the failure by the Retailer to pay any amount payable to the Wholesaler or any other wholesaler, under the Wholesale Contract, the WRC, the Market Arrangements Code or otherwise, and in the currency in which such amount is payable within 10 Business Days of the due date on more than three occasions in any calendar year; or
1.6.2.5 the failure by the Retailer to pay any amount payable to the Wholesaler or any other wholesaler, under the Wholesale Contract, the WRC, the Market Arrangements Code or otherwise, and in the currency in which such amount is payable for more than 10 Business Days of the due date; or
1.6.2.6 the Retailer ceases to be the counterparty of the Wholesaler in relation to the Wholesale Contract.
The Retailer. The Retailer:
(a) will not knowingly do or omit to do anything, or cause any person to do or omit to do anything that is inconsistent with the obligations of the Consumer
(b) acknowledges that the Distributor will be entitled to terminate any Distributor’s Agreement in accordance with its terms.
The Retailer agrees not to do, or allow others to do, any of the following: (a) place or cause to be placed, any lien on any of the digital display systems or equipment placed on the Premises by PhiMedia; (b) in any way deface, move, or remove the digital display systems or related equipment located in the Premises, (c) place or paint any sign, advertisement or notice on any digital display systems or related equipment located in the Premises, (d) alter or change the Premises in any manner which would affect the use of the digital display systems located in the Premises; (e) grant the right to install or operate any digital display systems to any other entity or individual; (f) place any attachments on any digital display system(s); and/or (g) use the digital display systems for any purpose other than permitted by this Agreement.
The Retailer. The e-commerce Retailers can be divided into mere e-commerce Retailers, which are e- commerce Retailers that solely sell products via the internet and generally don’t own brick-and- mortar store(s) or storage facilities in urban areas, and multichannel-Retailers, which are e- commerce Retailers that sell customer goods and/or services to customers through multiple channels. Shipments of mere e-commerce Retailers will be transported directly from the Retailer to the End Consumers, while shipment of multichannel-Retailers will be disassembled in one transport from the Retailer to the consolidation center and from the consolidation center to the End Consumers.
