SUSPENSION OF CONTRACTOR’S APPOINTMENT. Without prejudice to I-FLAIR’s rights to terminate the Framework Agreement in Clause 22 above, if: a right to terminate this Framework Agreement arises in accordance with Clause 22 or if the Contractor has declined to participate in more than two Mini-Competitions, I-FLAIR may suspend the Contractor’s appointment to supply Services to Contracting Bodies in any or all of the Contractor’s Lots by giving notice in writing to the Contractor. If I-FLAIR provides notice to the Contractor in accordance with this Clause 23, the Contractor’s appointment under this Framework Agreement shall be suspended for the period set out in the notice or such other period notified to the Contractor by I-FLAIR in writing from time to time, which period shall, in the event that the Contractor's suspension is by reason of having declined to participate in more than two Mini- Competitions, be for a maximum of twelve (12) Months. For the avoidance of doubt, the Contractor must continue to comply with the terms of this Framework Agreement and to perform existing Call- Off Contracts during any period of suspension under this Clause 23.

  • SUSPENSION OF SUPPLIER'S APPOINTMENT 27.1 Without prejudice to the Authority's rights to terminate this Framework Agreement as set out in Clause 26 (Termination), or if the Authority reasonably believes that a Consistent Failure has occurred, the Authority may suspend the Supplier's appointment to provide Services to Contracting Bodies under this Framework Agreement by giving notice in writing to the Supplier which notice shall take immediate effect from the date specified in such notice and the Supplier agrees that it shall not be entitled to enter into any new Order during such suspension period.

  • SUPPLIER'S APPOINTMENT The Authority hereby appoints the Supplier as a potential provider of the Services and the Supplier shall be eligible to be considered for the award of Orders for such Services by the Authority and Other Contracting Bodies during the Term and in consideration of the Supplier agreeing to enter into this Framework Agreement and to perform its obligations under it the Authority agrees to pay and the Supplier agrees to accept on the signing of this Framework Agreement the sum of one (£1.00) pound sterling (receipt of which is hereby acknowledged by the Supplier).

  • Appointment of Key Sub-Contractors The Supplier shall ensure that all Sub-Contracts contain a provision: requiring the Supplier to pay any undisputed sums which are due from it to the Sub-Contractor within a specified period not exceeding thirty (30) days from the receipt of a valid invoice; requiring that any invoices submitted by a Sub-Contractor shall be considered and verified by the Supplier in a timely fashion and that undue delay in doing so shall not be sufficient justification for failing to regard an invoice as valid and undisputed; requiring the Sub-Contractor to include in any Sub-Contract which it in turn awards suitable provisions to impose, as between the parties to that Sub-Contract, requirements to the same effect as those required by sub-clauses 5.17.1 and 5.17.2 directly above; and conferring a right to the Customer to publish the Supplier’s compliance with its obligation to pay undisputed invoices within the specified payment period. The Supplier shall pay any undisputed sums which are due from it to a Sub-Contractor within thirty (30) days from the receipt of a valid invoice. Any invoices submitted by a Sub-Contractor to the Supplier shall be considered and verified by the Supplier in a timely fashion. Undue delay in doing so shall not be sufficient justification for the Supplier failing to regard an invoice as valid and undisputed. Notwithstanding any provision of Clauses 9.2 (Confidentiality) and 13 (Publicity, Media and Official Enquiries) if the Supplier notifies the Customer that the Supplier has failed to pay an undisputed Sub-Contractor’s invoice within thirty (30) days of receipt, or the Customer otherwise discovers the same, the Customer shall be entitled to publish the details of the late or non-payment (including on Government websites and in the press).

  • Initial Appointments The Company appoints the Trustee as the initial Paying Agent, the initial Registrar and the initial Conversion Agent.

  • Emergency Appointments Absence from work to attend emergency medical or dental appointments and medical appointments arising from a work related accident covered by Workers' Compensation, shall be paid for from the employee's accumulated sick leave.

  • Term Appointments 16.3.4.1 A Term appointment carries no implication of renewal or continuation beyond the contractually limited term. A person holding a Term appointment may apply for a Probationary or Continuing appointment if such a position is available.

  • Adjunct Appointments The use of adjuncts at a university shall, upon the request of the UFF Chapter representatives, be a subject of consultation under the provisions of Article 2.1, Consultation.

  • Duration of Appointment The Employment shall be deemed to have commenced on the Commencement Date and shall continue unless terminated in accordance with the provisions of this Agreement.

  • Continuing Appointments A Continuing appointment signifies the right of a Member to continuous employment that may be terminated only through the mechanisms provided in Article 8.
