Status as Independent Contractors. This Agreement shall not constitute, create or otherwise imply an employment, joint venture, partnership, agency or similar arrangement, and nothing contained herein shall be construed as providing for the sharing of profits or losses arising from the efforts of either or both of the parties. Each party to this Agreement shall act as an independent contractor, and neither party shall have the power to act for or bind the other party except as expressly provided for herein.
Status as Independent Contractors. The Parties are independent contractors. Neither has the authority to bind the other to any third person or act in any way as the representative of the other, unless otherwise expressly agreed to in writing by authorized representatives of both Parties.

Nothing contained in this agreement shall be construed to constitute the Subgrantee or any of its employees, servants, agents or subcontractors as a partner, employee, servant, or agent of ARC, nor shall either party to this agreement have any authority to bind the other in any respect, it being intended that each shall remain an independent contractor.

The relationship between PORI and Hospital under this Contract is that of independent contractors and is for the sole purpose of carrying out the terms of this Contract. Nothing in this Contract shall be construed to create a business partnership, joint venture, employer-employee or principal-agent relationship between the parties, nor shall the parties present themselves as being a business partnership, joint venture, and employer-employee or principal-agent relationship. Hospital and PORI expressly agree that Hospital is not a third party beneficiary of any agreement or contract between PORI and CMS, DHS, or any other payor or person.
Status as Independent Contractors. Nothing in this Agreement shall create a partnership, agency or other relationship among the parties other than that of independent contractors.
Status as Independent Contractors. The relationship between Cigna-HealthSpring and Facility shall be that of independent contractors. This Agreement is not intended to create nor shall be construed to create any relationship between Cigna-HealthSpring and Facility other than that of independent persons or entities contracting for the purpose of effecting the provisions of this Agreement. Neither Party nor any of their representatives shall be construed to be the agent, employer, employee, or representative of the other.
Status as Independent Contractors. The parties acknowledge and agree that their relationship is solely that of independent contractors. Governing bodies of Hospital and Company shall have exclusive control of the policies, management, assets, and affairs of their respective facilities. Nothing in this Agreement shall be construed as limiting the right of either to affiliate or contract with any other Hospital or facility on either a limited or general basis while this Agreement is in effect. Neither party shall use the name of the other in any promotional or advertising material unless review and approval of the intended use shall be obtained from the party whose name is to be used and its legal counsel.
Status as Independent Contractors. Notwithstanding the characterization of Grantee as “Grantee,” nothing in this agreement shall create a partnership, agency or other relationship among the parties other than that of independent contractors.
Status as Independent Contractors. The relationship of In-Pipe and Exousia under this Agreement shall be that of independent contractors. Nothing in this Agreement will be construed to create any partnership, association or joint venture between the parties or any fiduciary duties between them.
Status as Independent Contractors. The Consultants’ engagement pursuant to this Agreement shall be as independent contractors, and not as an employee, officer or other agent of the Company. Neither party to this Agreement shall represent or hold itself out to be the employer or employee of the other. The Consultants further acknowledge the consideration provided hereinabove is a gross amount of consideration and that the Company will not withhold from such consideration any amounts as to income taxes, social security payments or any other payroll taxes unless required by law. All such income taxes and other such payment shall be made or provided for by the Consultants and the Company shall have no responsibility or duties regarding such matters. Neither the Company nor the Consultants possesses the authority to bind each other in any agreements without the express written consent of the entity to be bound.
