Specific Management Duties. Subject to the provisions and limitations contained herein, Operator shall have the duty and authority to perform any act that is necessary in the opinion of Operator to operate and manage the Residences and the other Property on behalf and for the account of Owner, including, but not limited to, the following (the costs of which shall be deemed an item of Operating Expense):
Specific Management Duties. (a) The Management Consultant shall provide the following: (i) The Management Consultant will provide an office with a telephone, fax, computer and software capabilities, and clerical support (the "Overhead"). The Company will not be responsible for any payment of rent to the Management Consultant or for any Overhead. (ii) The Management Consultant will provide general accounting services in conformity with good commercial practice and applicable SEC rules and regulations, as well as reasonable instructions of the Company. (iii) The Management Consultant will provide selected internal reports, as requested by the Company from time to time, such as a monthly summary of cash and cash equivalent balances and expenses paid or accrued for such month. (iv) The Management Consultant will draft and submit to the Company for review and approval, at least five (5) business days prior to the due date, the necessary SEC filings to comply with all applicable rules and regulations. (v) The Management Consultant will maintain all corporate records in keeping with good commercial practices or as instructed by the President of the Company. (vi) Upon request by the Company, the Management Consultant will assist the Chief Executive Officer and President of the Company in locating a suitable candidate for a business combination or disposition. Notwithstanding the provisions of Section 3 below, in the event that the Company requires services which exceed the scope or extent of the services provided for herein (the "Additional Services"), and if the Management Consultant agrees to provide such services, the Company and the Management Consultant will negotiate in good faith an adjustment to the fee payable hereunder; provided, however, that the fee payable by the Company for such services will be no less than the charges for comparable services from a third party and that any such adjustment shall be effectuated only after approval by the Company's Board of Directors (inclusive of the positive Board vote of H. Specific Management Duties. (a) The Management Agent shall perform, or shall contract with third parties (including Affiliates) for the performance of the following services: (i) Coordinating, the marketing and advertising of the Lithotripsy Systems. (ii) Managing billing and collection services for the Lithotripsy Systems' operations. The fees charged to patients for different urological services provided by the Lithotripsy Systems shall be established by the mutual agreement of the Partnership and the Management Agent. The Management Agent will not ▇▇▇▇ the professional urological component of the services provided by the Partnership as the same will be the responsibility of each treating urologist. (iii) Engaging all nonphysician personnel reasonably necessary to staff and operate the Lithotripsy Systems, including without limitation, drivers, technicians, nurses, physicians' assistants, secretaries, office managers and receptionists. It is understood and agreed that the Partnership shall pay the wages or other compensation of such personnel and that the Management Agent shall in no way be liable to such persons for their wages or other compensation, nor to the Partnership or others for any action or omission on the part of such persons. (iv) Making or causing to be made all repairs, replacements, alterations, additions and improvements to the equipment comprising or used in connection with the Lithotripsy Systems. (v) Purchasing or causing to be purchased all equipment, medical and office supplies necessary for the efficient maintenance and operation of the Lithotripsy Systems. (vi) Making all contracts for electricity, gas, fuel, steam, water, telephone, rubbish removal, laundry service, and other utilities or services as are necessary for the efficient maintenance and operation of the Lithotripsy Systems. (vii) Supervising and coordinating any necessary training of physicians who will use the Lithotripsy Systems. (viii) Consulting with and advising the Partnership, through the Management Agent's physician personnel, regarding all medical aspects of the Partnership's practice. (ix) Monitoring the progress in technological developments in lithotripsy and advising the Partnership regarding the nature of these developments. (x) Arranging for the continuing education of the physicians trained to use the Lithotripsy Systems regarding the latest developments in lithotripsy. Related to Specific Management Duties

  • Traffic Management 9.2.1 During the Operating Period, Developer shall be responsible for the general management of traffic on the Project. Developer shall manage traffic so as to preserve and protect safety of traffic on the Project and Related Transportation Facilities and, to the maximum extent practicable, to avoid disruption, interruption or other adverse effects on traffic flow, throughput or level of service on the Project and Related Transportation Facilities. Developer shall conduct traffic management in accordance with all applicable Technical Provisions, Technical Documents, Laws and Governmental Approvals, and in accordance with the Traffic Management Plan. 9.2.2 Developer shall prepare and submit to TxDOT and the Independent Engineer for TxDOT approval a Traffic Management Plan for managing traffic on the Project and Related Transportation Facilities after the commencement of traffic operations on any portion of the Project, addressing (a) orderly and safe movement and diversion of traffic on Related Transportation Facilities during Project construction, (b) orderly and safe movement of traffic on the Project and (c) orderly and safe diversion of traffic on the Project and Related Transportation Facilities necessary in connection with field maintenance and repair work or Renewal Work or in response to Incidents, Emergencies and lane closures. Developer shall prepare the Traffic Management Plan according to the schedule set forth in the Technical Provisions. The Traffic Management Plan shall comply with the Technical Provisions and Technical Documents concerning traffic management and traffic operations. Developer shall carry out all traffic management during the Term in accordance with the approved Traffic Management Plan. 9.2.3 Developer shall implement the Traffic Management Plan to promote safe and efficient operation of the Project and Related Transportation Facilities at all times during the course of any construction or operation of the Project and during the Utility Adjustment Work. 9.2.4 TxDOT shall have at all times, without obligation or liability to Developer, the right 9.2.4.1 Issue Directive Letters to Developer regarding traffic management 9.2.4.2 Provide on the Project, via message signs or other means consistent with Good Industry Practice, non-Discriminatory traveler and driver information, and other public information (e.g. amber alerts), provided that the means to disseminate such information does not materially interfere with the functioning of the ETCS.
