Shareholder Payments. The Parent shall not, and shall not permit any of its Subsidiaries to, authorize, declare or pay any Shareholder Payments with respect to the Parent or any of its Subsidiaries, except that:

Shareholder Payments. Xxxxxxx and each Management Seller severally covenants to repay an amount to the Buyer on a pound-for-pound basis within 5 Business Days of a demand from the Buyer an amount equal to any Shareholder Payments made to it by any Acquired Entity since December 31, 2009, other than the Disclosed Shareholder Payments.

If such assets shall be insufficient to pay the fees of or other amounts due to the Escrow Agent hereunder, SpaceDev shall make such payments on behalf of the Shareholders (it being understood that SpaceDev shall have the right to recover one-half of such payment from the Key Shareholders).
