Shareholder Payment definition

Shareholder Payment means the payment of any management, advisory or other fee to or to the order of any of the shareholders of the Parent.
Shareholder Payment means, with respect to any Person, Dividends and Stock Buy-Backs with respect to such Person.
Shareholder Payment means the payment of a dividend or distribution and/or the making of or the repayment of shareholder loans to the direct or indirect Equity Holders of the Borrower on or promptly after the Closing Date in an aggregate amount not to exceed $230,000,000.

  • If the Company has insufficient funds to pay the portion of the priority distribution that is due at the time a Management Shareholder receives a Management Shareholder Payment, the Management Shareholders receiving Management Shareholder Payments shall pay Purchaser the amount of such insufficiency pro rata in accordance with the proportionate amounts of each such Management Shareholder's Payments, such amount to be paid on the same schedule as the payments are received by the Management Shareholder.

  • Upon receipt of the Guarantee Payment as specified in Section 2(a), the Paying Agent shall promptly disburse to each Designated Shareholder of the Affected Fund such Designated Shareholder’s Designated Shareholder Payment.

Shareholder Payment means any payment (whether in cash or otherwise) by the Parent in respect of:

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Rollover Shareholders means each Person who is a party to the Rollover Agreement (other than Parent and Holdco) and each Person who enters into an Additional Rollover Agreement with Parent and Holdco pursuant to Section 3.01(f).

  • Shareholder Loan means any loan made or to be made to a member of the Group by or on behalf of a Shareholder and any other indebtedness owing on loan account by a member of the Group to a Shareholder.
