If the Company has insufficient funds to pay the portion of the priority distribution that is due at the time a Management Shareholder receives a Management Shareholder Payment, the Management Shareholders receiving Management Shareholder Payments shall pay Purchaser the amount of such insufficiency pro rata in accordance with the proportionate amounts of each such Management Shareholder's Payments, such amount to be paid on the same schedule as the payments are received by the Management Shareholder.
