Services of Indemnitee. In consideration of the Company’s covenants and commitments hereunder, Indemnitee agrees to serve or continue to serve as a director and/or officer of the Company. However, this Agreement shall not impose any obligation on Indemnitee or the Company to continue Indemnitee’s service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
Services of Indemnitee. In consideration of the Company's covenants and commitments hereunder, Indemnitee agrees to serve or continue to serve as a director or executive officer of the Company. However, this Agreement shall not impose any obligation on Indemnitee or the Company to continue Indemnitee's service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any. Indemnitee may at any time and for any reason resign from such position (subject to any other contractual obligation or any obligation imposed by operation of law), upon which event the Company shall have no obligation under this Agreement to continue Indemnitee in such position. Notwithstanding the forgoing, this Agreement shall continue in force after Indemnitee has ceased to serve as a director or executive officer of the Company.
Services of Indemnitee. This Agreement shall not be deemed to constitute an agreement of employment nor shall it impose any obligation on Indemnitee or the Company to continue the Indemnitee’s service to the Company beyond any period otherwise required by applicable law or by other agreements or commitments of the parties, if any. The Indemnitee, if a member of the Board of Directors, hereby agrees to serve or continue to serve as a director of the Company, for so long as the Indemnitee is duly elected or appointed or until the Indemnitee tenders his or her resignation or is removed in accordance with the Articles, the Bylaws and applicable law.
Services of Indemnitee. In consideration of the Company’s covenants and commitments hereunder, Indemnitee agrees to his initial employment as an executive officer of the Company. For avoidance of doubt, this Agreement shall not impose any obligation on Indemnitee or the Company to continue Indemnitee’s service to the Company and the Company’s obligations and Indemnitee’s rights under this Agreement are not conditioned on Indemnitee continuing his service to the Company for any minimum or fixed period of time.
Services of Indemnitee. In consideration of the Trust’s covenants and commitments hereunder, Indemnitee agrees to serve as a trustee or officer of the Trust. However, this Agreement shall not impose any obligation on Indemnitee or the Trust to continue Indemnitee’s service to the Trust beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
Services of Indemnitee. This Agreement shall not be deemed to constitute an agreement of employment nor shall it impose any obligation on Indemnitee or the Company to continue Indemnitee’s service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
Services of Indemnitee. In consideration of the Fund’s covenants and commitments hereunder, Xxxxxxxxxx agrees to serve or continue to serve as a trustee of the Fund. However, this Agreement shall not impose any obligation on Indemnitee or the Fund to continue Indemnitee’s service to the Fund beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
Services of Indemnitee. It is the intent of this Agreement to secure for Indemnitee rights of indemnity that are as favorable as may be permitted under the law and public policy of the State of Delaware. In consideration of the Company’s covenants and commitments hereunder, Indemnitee agrees to serve as a director of the Company; provided, that this Agreement shall not impose any obligation on Indemnitee or the Company to continue Indemnitee’s service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
Services of Indemnitee. In consideration of IONA PLC’s and IONA Inc.’s covenants and commitments hereunder, Indemnitee agrees to serve or continue to serve as an interim chief financial officer of the Company. However, this Agreement shall not impose any obligation on Indemnitee, IONA PLC or IONA Inc. to continue Indemnitee’s service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any. Indemnitee may at any time and for any reason resign from or cease to serve as interim chief financial officer of the Company (subject to any other contractual obligation or any obligation imposed by operation of law), upon which event neither IONA PLC nor IONA Inc. shall have any obligation under this Agreement to continue Indemnitee in such position. Notwithstanding the forgoing, this Agreement shall continue in force with respect to actions taken or not taken during Indemnitee’s term as interim chief financial officer or, at the Company’s request, as any officer of any other Entity after Indemnitee has ceased to serve as interim chief financial officer or as any officer of such Entity.
Services of Indemnitee. In consideration of the Indemnitors ’ covenants and commitments hereunder, Indemnitee agrees to serve or continue to serve as a trustee, director and/or officer of the Indemnitors, as applicable. However, this Agreement shall not impose any obligation on Indemnitee or the Indemnitors to continue Indemnitee ’s service to the Indemnitors beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.
