Each provision of this Agreement shall be considered separable and (a) if for any reason any provision or provisions herein are is determined to be invalid, unenforceable or illegal under any existing or future law, such invalidity, unenforceability or illegality invalidity shall not impair the operation of or affect those portions of this Agreement which are valid, enforceable and legal(b) if for any reason any provision would cause the Investment Limited Partner to be bound by the obligations of the Partnership (other than the rules and regulations of the Agency and the requirements of the Lender and/or Agency), such provision or provisions shall be deemed void and of no effect.

If, for any reason reason, any provision or provisions herein hereof are determined to be invalid, unenforceable or illegal under invalid and contrary to any existing or future law1 aw, such invalidity, unenforceability or illegality invalidity shall not impair the operation of or affect those portions of this Agreement which that are valid, enforceable and legal.
