Seller's and Xxxxx's Tax Obligation. The Seller shall pay or cause to be paid all Tax on or with respect to Certificates Delivered pursuant to an Individual Contract arising before the transfer of risk and title at the Delivery Point. The Buyer shall pay or cause to be paid all Tax on or with respect to the Certificates Delivered pursuant to an Individual Contract arising after the transfer of risk and title at the Delivery Point. Subject to § 12.2 (Payment), the Parties shall pay all Tax arising at the transfer of risk and title at the Delivery Point in accordance with Applicable Laws. In the event that the Seller is required by Law to pay any Tax which is properly for the account of the Buyer, the Buyer shall promptly indemnify or reimburse the Seller in respect of such Tax. In the event that the Buyer is required by Law to pay any Tax which is properly for the account of the Seller, the Buyer may deduct the amount of any such Tax from the sums due to the Seller under the Agreement and the Seller shall promptly indemnify or reimburse the Buyer in respect of any such Tax not so deducted.
