Subject to this Master Agreement, Seller shall sell and deliver, and Buyer shall purchase and receive, the Contract Quantity in GATS for each transaction.
All Contract Progress Schedule Updates submitted later than ten (10) Calendar Days after the CQE (Contract Quantity Estimate) completion date, or greater than forty (40) Calendar Days from the Data Date of the previous submission, will be deemed to be no longer useful and will not qualify for payment.
Remaining Contract Quantity shall mean the total estimated usage for the period remaining in the Fixed Term of this Agreement at the time of termination, based on Buyer’s historical usage or Company’s estimated usage calculated in a commercially reasonable manner.
Seller shall notify Buyer in writing when the Project is again capable of meeting its Contract Quantity on a pro rata basis also in accordance with the notification provisions in Appendix VI.
The Contract Quantity during each Contract Year is the amount set forth in the applicable Contract Year in Section D of the Cover Sheet (“Delivery Term Contract Quantity Schedule”), which amount is inclusive of outages.
