Security, Formats and Delivery Mechanisms. 3.1 Member will (i) use reasonable measures to protect the security of the Licensed Materials downloaded for TDM purposes and the TDM Materials in its possession or control. (ii) at Licensor’s request, permit Licensor to review relevent network and computer security documentation, and (iii) require that any Authorized Users that download the Licensed Materials for TDM purposes onto personal devices not in the possession or control of Member ensure that such devices employ commercially reasonable security measures.

(ii) at Licensor’s request, permit Licensor to review Licensee’s network vulnerability assessments, security audit report, security plan, maintenance and security patch process, and maintenance and patching records, and (iii) require that any Authorized Users that download the Content for TDM purposes onto personal devices not in the possession or control of Licensee ensure that such devices employ commercially reasonable security measures; and/or such other reasonable security measures as prevent access by any other person and commercial use.
