Save and except for the foregoing provisions, all other paragraphs and covenants shall remain in effect as therein stated. In the event of a conflict between the provisions of this Amendment 1, or any other Amendments or Addendums, and the Lease agreement, then the provisions of this Amendment 1 shall prevail. Save and except for the statutory pre-emption rights and statutory rights of first refusal there is no Encumbrance on or affecting any of the shares of any Group Company and no commitment to create any such Encumbrance over the shares of any Group Company has been given, nor has any person claimed or threatened to claim any rights to such Encumbrance. No person has the right to call for the issue of any share or loan capital of the Company by reason of any conversion rights or under any option or other agreement.
