RIGHTS AND RESPONSIBILITIES OF COUNTY. COUNTY shall provide GRANTEE with One Hundred Fifteen Thousand Dollars ($115,000.00) for the purpose of funding the establishment and administration of a HHAP project, including, without limitation, compensating GRANTEE for making capital improvements to the facilities known as the Xxxx Xxxxx Village, located at 000 Xxxx Xxxxxxxxxx Xxxxxx, Xxxxxx, Xxxxxxxxxx, that are needed to allow for the provision of emergency shelter, case management and supportive services to eligible members of the Target Population, that is intended to reduce homelessness within Humboldt County.
RIGHTS AND RESPONSIBILITIES OF COUNTY. 6.1 The County may cancel this Agreement, the Contract Documents, and the project for any reason upon ten (10) days’ written notice in compliance with the notice procedure set forth in Article 7, Section 7.1 to the parties named therein. Anything contained in the Agreement and/or Contract Documents to the contrary notwithstanding, a termination under this Section 6.1 shall not waive any right or claim to damages which County may have with respect to work performed or failed to be performed when it should have been by the Contractor. In either case, the County may pursue any cause of action which it may have by law or under this Agreement or the Contract Documents on account of such damages claimed by the County.

Application of this Article shall not preclude the use of the grievance procedure as established in this Agreement.

  • Duties and Responsibilities of Trustee The Trustee, prior to the occurrence of an Event of Default and after the curing or waiver of all Events of Default that may have occurred, undertakes to perform such duties and only such duties as are specifically set forth in this Indenture. In the event an Event of Default has occurred and is continuing, the Trustee shall exercise such of the rights and powers vested in it by this Indenture, and use the same degree of care and skill in its exercise, as a prudent person would exercise or use under the circumstances in the conduct of such person’s own affairs; provided that if an Event of Default occurs and is continuing, the Trustee will be under no obligation to exercise any of the rights or powers under this Indenture at the request or direction of any of the Holders unless such Holders have offered to the Trustee indemnity or security reasonably satisfactory to it against any loss, liability or expense that might be incurred by it in compliance with such request or direction.
