Right to Make Full Grant. Contractor has and will have all requisite ownership, rights, and licenses to fully perform its obligations under this Agreement and to grant to Company all rights with respect to the Inventions and related intellectual property rights to be granted under this Agreement, free and clear of any and all agreements, liens, adverse claims, encumbrances, and interests of any person or entity, including, without limitation, Contractor’s employees, agents, artists, and contractors and their contractors’ employees, agents, and artists, who have provided, are providing, or will provide services with respect to the development of the Inventions.
Right to Make Full Grant. Each party represents and warrants that it has and will have all requisite rights to fully perform its obligations under this Agreement and to grant to the other party all rights granted under this Agreement free and clear of all agreements, liens, adverse claims, encumbrances, and interests of any person or entity, including such party’s employees, contractors, and its contractors’ employees and agents.
Right to Make Full Grant. Vendor has and shall have all requisite ownership, rights and licenses to perform its obligations under this Agreement fully as contemplated hereby and to grant Baan all rights with respect to the Deliverables and the Vendor Software and Intellectual Property Rights purported to be granted hereunder, free and clear of any and all agreements, liens, adverse claims, encumbrances and interests of any Person, including, without limitation, Vendor's employees, agents, artists and contractors and such contractors' employees, agents and artists, who have provided, are providing or shall provide services with respect to the development of the Deliverables.
Right to Make Full Grant. TopTier represents and warrants to ------------------------ Baan that it has and shall have all requisite ownership, rights and licenses to perform its obligations under this Agreement fully as contemplated hereby, and to grant to Baan the license rights stipulated herein with respect to the Baan Branded Products, the Additional Products and the TopTier Products, free and clear of any and all agreements, liens, adverse claims, encumbrances and interests of any Person, including, without limitation, TopTier employees, agents, artists and contractors and such contractors' employees, agents and artists, who have provided, are providing or shall provide services with respect to the Baan Branded Products, Additional Products and the TopTier Products.
Right to Make Full Grant. LIVMOR has and will have all requisite ownership, rights, and licenses to fully perform its obligations under this Agreement and to grant to HeartBeam all rights with respect to the deliverables, Telehealth Product, and Platform and related intellectual property rights to be granted under this Agreement, free and clear of any and all agreements, liens, adverse claims, encumbrances, and interests of any person or entity, including, without limitation, LIVMOR’s employees, agents, artists, and contractors and their contractors’ employees, agents, and artists, who have provided, are providing, or will provide services with respect to the development of the Platform.
Right to Make Full Grant. TopTier has and shall have all ------------------------ requisite ownership, rights and licenses to perform its obligations under this Agreement fully as contemplated hereby, and to grant to Baan the license rights stipulated herein with respect to the Licensed Software and Technology, free and clear of any and all agreements, liens, adverse claims, encumbrances and interests of any Person, including, without limitation, TopTier employees, agents, artists and contractors and such contractors' employees, agents and artists, who have provided, are providing or shall provide services with respect to the Deliverables.
Right to Make Full Grant. IWBS has all requisite ownership, rights and licenses to grant the rights granted under this Agreement. To the best knowledge of IWBS, the Toolkit Technology and the use and distribution of the Toolkit Product as it exists on the Effective Date by IBS Software will not infringe, violate or misappropriate any rights of any third person.
Right to Make Full Grant. Licensee has and shall have all requisite ownership, rights and licenses to perform its obligations under this Agreement fully as contemplated hereby and to grant to Platinum all rights to be granted in this Agreement, free and clear of any and all agreements, liens, adverse claims, encumbrances and interests of any Person or party.
Right to Make Full Grant. Platinum has and shall have all requisite rights and licenses to perform its obligations under this Agreement fully as contemplated hereby and will obtain all necessary licenses, clearances and permissions in respect of the Property to be used in the Title only as such obligations have been expressly assumed by Platinum hereunder.

Consultant has and will have all requisite ownership, rights, and licenses to fully perform her obligations under this Agreement and to grant to Company all rights with respect to the Inventions and related intellectual property rights to be granted under this Agreement, free and clear of any and all agreements, liens, adverse claims, encumbrances, and interests of any person or entity, including, without limitation, Consultant’s employees, agents, artists, and contractors and their contractors’ employees, agents, and artists, who have provided, are providing, or will provide services with respect to the development of the Inventions.
