Restrictions on Use or Disclosure. Covered Entity shall notify Business Associate of any restriction to the use or disclosure of Protected Health Information that Covered Entity has agreed to in accordance with 45 CFR 164.522, to the extent that such restriction may affect Business Associate’s use or disclosure of Protected Health Information.

Effective February 17, 2010, notwithstanding the paragraph (a)(1)(ii) of 45 CFR 164.522, the Business Associate must comply with the requested restriction if (1) except as otherwise required by law, the disclosure is to a health plan for purposes of carrying out payment or health care operations (and is not for purposes of carrying out treatment); and (2) the protected health information pertains solely to a health care item or service for which the health care provider involved has been paid out of pocket in full.

Licensee shall provide Mediware with any changes in, or revocation of, permission by Individuals to use and/or disclose PHI, to the extent such changes or revocations may affect Mediware's permitted or required uses and disclosures of PHI. Further, Licensee shall notify Mediware of any restriction to the use and/or disclosure of PHI that Licensee has agreed to if such restriction may affect Mediware's permitted or required uses and disclosures of such PHI in connection with the Services. The Parties will amend the Agreement to account for material costs imposed on Mediware by any such restriction agreed to by Licensee. Licensee shall not request Mediware to use or disclose PHI in any manner that would not be permissible under the Confidentiality Requirements if done by Licensee.
