Representations and Warranties of the Company and the Consultant. Each of the parties hereby represents and warrants to the other party as follows: (i) each party has the legal capacity and unrestricted right to execute and deliver this Agreement and to perform all obligations hereunder; and (ii) the execution and delivery of this Agreement by each of the parties and the performance of his or its obligations hereunder will not violate or be in conflict with any fiduciary or other duty, instrument, agreement, document, arrangement or other understanding to which the Consultant or the Company is a party or by which he or it is or may be bound or subject. The Consultant is not a party to any instrument, agreement, document, arrangement or other understanding with any person (other than the Company) requiring or restricting the use or disclosure of any confidential information or the provision of any engagement, consulting or other services. Each of the Consultant and the Company agrees to indemnify the other party for any costs, liabilities or expenses incurred by such other party as a result of a breach of this Section 9.1.
