REPRESENTATIONS AND WARRANTIES OF SELLER AND THE COMPANY. Seller and the Company jointly and severally represent and warrant to the Purchaser that:

Buyer shall have received certificates signed on behalf of Seller and the Company by the Chief Executive Officer or President of each Seller and the Company to such effect on the Closing.
REPRESENTATIONS AND WARRANTIES OF SELLER AND THE COMPANY. Seller and the Company hereby jointly and severally represent and warrant to Purchaser as of the date of this Agreement as follows:
