Representations and Warranties of Shipper. Shipper represents and warrants that: (i) it is duly organized and validly existing under the laws of the State/Province of and has all requisite legal power and authority to execute this Agreement and carry out the terms, conditions and provisions hereof; (ii) there are no actions, suits or proceedings pending, or to Shipper's knowledge, threatened against or affecting Shipper before any court or authorities that might materially adversely affect the ability of Shipper to meet and carry out its obligations under this Agreement; and (iii) the execution and delivery by Shipper of this Agreement has been duly authorized by all requisite corporate action.
Representations and Warranties of Shipper. Shipper represents and warrants that: (a) it is duly organized and validly existing under the laws of and has all requisite legal power and authority to execute this Interruptible Transportation Service Agreement and carry out the terms, conditions and provisions hereof; (b) this Interruptible Transportation Service Agreement constitutes the valid, legal and binding obligation of Shipper, enforceable in accordance with the terms hereof; (c) there are no actions, suits or proceedings pending or, to Shipper's knowledge, threatened against or affecting Shipper before any court or Authority that might materially adversely affect the ability of Shipper to meet and carry out its obligations under this Interruptible Transportation Service Agreement; and (d) the execution and delivery by Shipper of this Interruptible Transportation Service Agreement has been duly authorized by all requisite corporate action.
