Common use of Representations and Warranties of Shipper Clause in Contracts

Representations and Warranties of Shipper. Shipper represents and warrants that: (i) it is duly organized and validly existing under the laws of the State/Province of and has all requisite legal power and authority to execute this Agreement and carry out the terms, conditions and provisions hereof; (ii) there are no actions, suits or proceedings pending, or to Shipper's knowledge, threatened against or affecting Shipper before any court or authorities that might materially adversely affect the ability of Shipper to meet and carry out its obligations under this Agreement; and (iii) the execution and delivery by Shipper of this Agreement has been duly authorized by all requisite corporate action.
