Replacement of the Security Agent. (a) After consultation with the Borrower, the Lenders (not including any Lender that is also, in a separate capacity, Security Agent or an Affiliate of the Security Agent) may, by giving thirty (30) days’ notice to the Security Agent replace the Security Agent by appointing a successor Security Agent, provided that where the Security Agent has refused or failed to enforce the Transaction Security following the receipt of any instruction provided, the Majority Lenders (not including any Lender that is also, in a separate capacity, Security Agent or an Affiliate of the Security Agent) may replace the Security Agent immediately having provided notice to the Security Agent to that effect.
