Reliance on Certain Documents. The Collateral Agent shall be entitled to rely on any communication, instrument or document believed by it to be genuine and correct and to have been signed or sent by the proper person or entity, and with respect to all legal matters shall be entitled to rely on the advice of legal advisors selected by it concerning all matters relating to the Security Documents and its duties hereunder and thereunder and otherwise shall rely on such experts as it deems necessary or desirable, and shall not be liable to any Purchaser or any other person or entity for the consequences of such reliance in the absence of gross negligence or willful misconduct as shall have been determined in a final nonappealable judgment of a court of competent jurisdiction.

Reliance on Certain Documents. The Collateral Agent shall be entitled to rely on any communication, instrument or document believed by it to be genuine and correct and to have been signed or sent by the proper person or entity, and with respect to all legal matters shall be entitled to rely on the advice of legal advisors selected by it concerning all matters relating to the Collateral Documents and its duties hereunder and thereunder and otherwise shall rely on such experts as it deems necessary or desirable, and shall not be liable to any Holder or any other person or entity for the consequences of such reliance.
Reliance on Certain Documents. In the performance of its obligations hereunder, the Company shall be entitled to rely upon any document or instrument signed before a notary public and believed by it in good faith to be genuine and signed by the Holder or an authorized officer or agent thereof, including, but not limited to, any document or instrument of the Holder purporting to transfer or assign its rights hereunder to any other person. The Company shall be indemnified and held harmless by the Holder from and against any and all reasonable expenses, including reasonable attorneys' fees and disbursements incurred, or losses suffered, by the Company in connection with its reliance on any such document or instrument.
Reliance on Certain Documents. The Trustee shall not be required in any way to determine the validity of any certificate, direction, notice or other document required to be delivered to it under this Agreement. It shall be sufficient that such certificate, direction, notice or other document shall be in apparently correct form and signed or otherwise executed by the Person or party required to sign or execute the same, and the Trustee shall be relieved of any liability or responsibility for the sufficiency thereof as long as it purports on its face to be in such form and executed by such Person as is required by this Agreement, and so long as the Trustee has no actual notice to the contrary.

The Custodian shall be entitled to rely upon any Written Instructions or Oral Instructions actually received by the Custodian pursuant to the applicable Sections of this Agreement and reasonably believed by the Custodian to be genuine and to be given by an Authorized Person. The Fund agrees to forward to the Custodian Written Instructions from an Authorized Person confirming such Oral Instructions in such manner so that such Written Instructions are received by the Custodian, whether by hand delivery, telex or otherwise, by the close of business on the same day that such Oral Instructions are given to the Custodian. The Fund agrees that the fact that such confirming instructions are not received by the Custodian shall in no way affect the validity of the transactions or enforceability of the transactions hereby authorized by the Fund. The Fund agrees that the Custodian shall incur no liability to the Fund in acting upon Oral Instructions given to the Custodian hereunder concerning such transactions provided such instructions reasonably appear to have been received from a duly Authorized Person.

  • Reliance on Provisions Each person who shall act as an indemnified representative of the Company shall be deemed to be doing so in reliance upon the rights of indemnification, contribution and advancement of expenses provided by this Section 13.
