RELATIONSHIP, DUTIES AND TITLE. BANK. Employee shall also serve as an executive officer of the Bank with the title of Executive Vice President and Chief Financial Officer to perform such services and duties as the Chief Executive Officer of Bancorp may designate from time to time. Subject to the terms and conditions hereof, Employee shall perform such duties and exercise such authority as are customarily performed and exercised by persons holding such office, subject to the general direction of the Chief Executive Officer of Bancorp. Such services and duties shall be exercised in good faith and in accordance with standards of reasonable business judgment.

  • Duties and Title Employee’s title shall be that of Executive Vice President, Secretary and Chief Financial Officer. Employee shall have such powers and perform such duties as are customarily performed by an Executive Vice President, Secretary and Chief Financial Officer, including, but not limited to, overall responsibility for and authority over finance and accounting, and serving as principal financial officer of the Company. Employee shall report to the Chief Executive Officer of the Company. Employee shall perform his duties to the best of his abilities and shall devote substantially all of his working time to such duties.

  • Certain Duties and Responsibilities (a) Except during the continuance of an Event of Default,

  • Responsibilities and Duties (a) As President and Chief Executive Officer, the Executive shall serve under the board of directors of the Corporation and will perform all duties and will have all powers associated with these positions, as set forth in any job description provided to the Executive by the Corporation or as may be set forth in the bylaws of the Corporation.
