Public Offering/Public Trading. Notwithstanding anything to the contrary in this Article XXIV, other than in connection with a Transfer under Section 24.1.11 below, (i) Lessor’s consent shall not be required in connection with, and the other provisions of this Article XXIV shall not apply to any transfer of any stock of Lessee as a result of a public offering of Lessee’s stock (which transfers shall be deemed not to be “Transfers” hereunder) which (a) constitutes a bona fide public distribution of such stock pursuant to a firm commitment underwriting or a plan of distribution registered under the Securities Act of 1933 and (b) results in such stock being listed for trading on the American Stock Exchange or the New York Stock Exchange or authorized for quotation on the NASDAQ National Market immediately upon the completion of such public offering, (ii) for so long as the stock of Lessee or any Controlling Person(s) is listed for trading on the American Stock Exchange or the New York Stock Exchange or authorized for quotation on the NASDAQ National Market, the transfer or exchange of such stock over such exchange or market (which transfers or exchanges shall be deemed not to be “Transfers” hereunder).

Public Offering/Public Trading. Notwithstanding anything to the ------------------------------ contrary this Article XXV, Lessor's consent shall not be required in connection with (a) any sale or other transfer of any stock of Lessee or any Controlling Person(s) (including Kindred Healthcare Inc.) as a result of (i) a public offering of Lessee's or such Controlling Person's (including Kindred Healthcare, Inc.) stock pursuant to a firm commitment underwriting or a plan of distribution registered under the Securities Act, (ii) any offering of Lessee's or any Controlling Person's (including Kindred Healthcare, Inc.) stock pursuant to Rule 144 or Rule 144A of the Securities Act or (iii) any issuance of Lessee's or any Controlling Person's (including Kindred Healthcare, Inc.) stock for the benefit of employees or directors of such Persons pursuant to any formal employee stock plan or other employee benefit plan arrangement or plan for reinvestment of dividends of interest, in each case duly authorized by the Board of Directors of such Person and in each case , except as permitted by Section 25.11 below, so long as such sale or transfer of such stock does not result, directly or indirectly, in a Change of Control of such Person (or with respect to Kindred Healthcare, Inc., a Change in Control of Kindred Healthcare, Inc.). In addition, to the extent that the stock of Lessee or any such Controlling Person(s) (including Kindred Healthcare, Inc.) is listed for trading on any of the American Stock Exchange, New York Stock Exchange or other national securities exchange or the OTC Bulletin Board, or authorized for quotation on the NASDAQ National Market, the transfer or exchange of such stock over such exchange or market shall not be deemed a Transfer hereunder unless, except as permitted by Section 25.11 below, the same (whether in one transaction or in any step or series of transactions) results, directly or indirectly, in a Change of Control of Lessee or any Controlling Person(s) or with respect to Kindred Healthcare, Inc. a Change of Control of Kindred Healthcare, Inc. (including pursuant to a tender or similar offer to acquire the outstanding and issued securities of Lessee or such Controlling Person(s)).

In the event of any reduction in Registrable Securities pursuant to this paragraph, the Company shall file one or more New Registration Statements in accordance with Section 2(c) until such time as all Registrable Securities have been included in Registration Statements that have been declared effective and the prospectus contained therein is available for use by the Investor. Notwithstanding any provision herein or in the Purchase Agreement to the contrary, the Company’s obligations to register Registrable Securities (and any related conditions to the Investor’s obligations) shall be qualified as necessary to comport with any requirement of the SEC or the Staff as addressed in this Section 2(d).

  • IPO The IPO, in such form and substance as the REIT, in its sole and absolute discretion, shall have determined to be acceptable, shall have been completed (or be completed simultaneously with the Closing).

  • Subsidiary Public Offering If, after an initial Public Offering of the common equity securities of one of its Subsidiaries, the Company distributes securities of such Subsidiary to its equityholders, then the rights and obligations of the Company pursuant to this Agreement will apply, mutatis mutandis, to such Subsidiary, and the Company will cause such Subsidiary to comply with such Subsidiary’s obligations under this Agreement as if it were the Company hereunder.
