Public Disclosure and Other Communications. Parent, Merger Sub and the Company shall consult with each other, and to the extent reasonably practicable, agree, before issuing any press release or otherwise making any public statement with respect to this Agreement and the transactions contemplated hereby (including the Offer and the Merger), and shall not issue any such press release or make any such public statement prior to such consultation, except with respect to any Acquisition Proposals and as may be required by applicable Law or any listing agreement with a national securities exchange, in which case, to the extent reasonably practicable and as permitted by applicable Law, commercially reasonable efforts to consult with the other party hereto shall be made prior to any such release or public statement. The press release announcing this Agreement and the transactions contemplated by this Agreement shall be jointly agreed by Parent and the Company.

The press release announcing this Agreement and the transactions contemplated by this Agreement shall be jointly agreed by Parent and the Company.
Public Disclosure and Other Communications. None of Seller, Target or their respective Subsidiaries, nor any officer, director, employee, independent contractor or representative of the foregoing shall issue any statement or make any communication to any third party (other than their respective agents that are bound by confidentiality restrictions), including any vendor or supplier to, or any customer of, the Business, regarding the subject matter of this Agreement or the transactions contemplated hereby (including any proposed plans of Buyer for the Business or the operation thereof and, if applicable, the termination of this Agreement and the reasons therefor) without the consent of Buyer. Neither Buyer nor any of its Subsidiaries, nor any officer, director, employee, independent contractor or representative of the foregoing, shall issue any press release or any other public statement regarding the subject matter of this Agreement or the transactions contemplated hereby (including, if applicable, the termination of this Agreement and the reasons therefor) without the consent of Seller (on behalf of itself and Focus Softek), except that this restriction shall be subject to Buyer's obligation to comply with applicable securities Laws and the rules of the Nasdaq Stock Market.

  • Reports and Other Communications to Fund Shareholders The Manager shall assist in developing all general shareholder communications, including regular shareholder reports.

  • Notices and Other Communications Any and all notices, statements, demands or other communications hereunder may be given by a party to the other by mail, facsimile, telegraph, messenger or otherwise to the address specified in Annex II hereto, or so sent to such party at any other place specified in a notice of change of address hereafter received by the other. All notices, demands and requests hereunder may be made orally, to be confirmed promptly in writing, or by other communication as specified in the preceding sentence.

  • Proxies and Other Materials The Custodian shall cause all proxies relating to Securities which are not registered in the name of the Fund to be promptly executed by the registered holder of such Securities, without indication of the manner in which such proxies are to be voted, and shall promptly deliver to the Trust such proxies, all proxy soliciting materials and all notices relating to such Securities. With respect to the foreign Securities, the Custodian will use reasonable commercial efforts to facilitate the exercise of voting and other shareholder rights, subject to the laws, regulations and practical constraints that may exist in the country where such securities are issued. The Trust acknowledges that local conditions, including lack of regulation, onerous procedural obligations, lack of notice and other factors may have the effect of severely limiting the ability of the Trust to exercise shareholder rights.

  • Financial Reports and Other Information (a) The Borrower will maintain a system of accounting in accordance with GAAP and will furnish to the Lenders and their respective duly authorized representatives such information respecting the business and financial condition of the Borrower and its Subsidiaries as any Lender may reasonably request. The Borrower shall deliver (via email or otherwise) to the Administrative Agent in form and detail satisfactory to the Administrative Agent, with copies for each Lender in form and substance satisfactory to them, each of the following:
