ProSource Acquisition Agreement. The representations and warranties contained in the ProSource Acquisition Agreement (a true and correct copy of which ProSource Acquisition Agreement, together with all schedules and exhibits thereto, has been delivered to the Lenders), are true and correct in all respects except where the failure to be so true and correct, upon consummation of the ProSource Acquisition, could not reasonably be expected to have a Material Adverse Effect. As of the date of the ProSource Acquisition, (i) the Company shall have taken all necessary corporate actions to authorize the ProSource Acquisition; and (ii) no representation made by the Company in any notices or filings with the shareholders of the Company, with the SEC or any applicable state securities commissions or with any governmental authority, including, without limitation, any representations concerning any agreement with, or financing provided by, the Lenders, contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements made therein, in light of the circumstances under which they are made, not misleading as of the time when made or delivered. Notwithstanding the foregoing, all representations made in this Section 7.19 with respect to representations of the Seller, shall be made only to the best of the Company's knowledge.

  • Acquisition Agreements If the Equipment is subject to any Acquisition Agreement, Lessee, as part of this lease, transfers and assigns to Lessor all of its rights, but none of its obligations (except for Lessee's obligation to pay for the Equipment conditioned upon Lessee's acceptance in accordance with Paragraph 6), in and to the Acquisition Agreement, including but not limited to the right to take title to the Equipment. Lessee shall indemnify and hold Lessor harmless in accordance with Paragraph 19 from any liability resulting from any Acquisition Agreement as well as liabilities resulting from any Acquisition Agreement Lessor is required to enter into on behalf of Lessee or with Lessee for purposes of this lease.
