Premerger Notification. The Company (or its ultimate parent entity) will promptly file notification and report forms with respect to the Contemplated Transactions in compliance with the HSR Act. Metromedia will bear the costs of any filing fees required to be paid pursuant to the HSR Act as a result of Metromedia being deemed an "acquiring person" under the HSR Act in connection with the transactions contemplated in Section 1 hereof. In the event Metromedia is not deemed an "acquiring person" under the HSR Act in connection with the transactions contemplated by Section 1 hereof, the person deemed the "acquiring person" shall bear the sole responsibility for any filing fee under the HSR Act in connection with such transactions.

Premerger Notification. As soon as practicable after the execution ---------------------- of this Agreement, Buyer and Seller shall each make any and all filings which are required under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended (the "HSR ACT") with respect to the transactions contemplated hereby. The parties shall each furnish to the other such necessary information and reasonable assistance as the other may request in connection with its preparation of necessary filings or submissions pursuant to the provisions of the HSR Act. If the Federal Trade Commission or the Department of Justice requests additional information from the parties or imposes any condition upon the transactions contemplated hereby, the parties will cooperate with each other, the Federal Trade Commission and the Department of Justice; provided, however, that nothing herein shall compel any party to comply with any condition imposed upon such party that is materially adverse to that party's interests as determined by such party in the exercise of its reasonable business judgment.
