Preferred Financing. As promptly as practical after the Closing Date, and in no event later than March 31, 2007, each of the Company and the Lenders shall use their respective commercially reasonable efforts to negotiate and enter into definitive transaction documents pertaining to the transactions (the “Preferred Financing”) contemplated in that certain Memorandum of Proposed Terms for Private Placement of Preferred Stock and Warrants dated as of January 4, 2007 (the “Term Sheet”); subject in the case of the Lenders to the satisfactory completion of their due diligence review in their sole discretion. Without limiting the generality of the foregoing, the Company shall provide each stockholder entitled to vote at a special or annual meeting of stockholders of the Company (the “Stockholder Meeting”), which shall be promptly called and held not later than April 30, 2007 (which date will be extended to May 31, 2007) if the SEC reviews and comments on the proxy statement relating to the Stockholder Meeting (the “Stockholder Meeting Deadline”), a proxy statement, in a form reviewed and approved by the Lenders soliciting each such stockholder’s affirmative vote at the Stockholder Meeting for approval of the Preferred Financing and the other matters contemplated in the Term Sheet in accordance with applicable law and the rules and regulations of the American Stock Exchange (such affirmative approval being referred to herein as the “Stockholder Approval”), and the Company shall use its commercially reasonable efforts to solicit its stockholders’ approval of such resolutions and to cause the Board of Directors of the Company to recommend to the stockholders that they approve such resolutions. The Company shall use its commercially reasonable efforts to obtain the Stockholder Approval by the Stockholder Meeting Deadline.

  • Subordinated Notes The Subordinated Notes have been duly authorized by the Company and when executed by the Company and issued, delivered to and paid for by the Purchasers in accordance with the terms of the Agreement, will have been duly executed, authenticated, issued and delivered, and will constitute legal, valid and binding obligations of the Company and enforceable in accordance with their terms, except as enforcement thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to or affecting creditors’ rights generally or by general equitable principles.

  • Senior Subordinated Notes The subordination provisions contained in the Senior Subordinated Notes and in the other Senior Subordinated Note Documents are enforceable against the Borrower and the holders of the Senior Subordinated Notes, and all Obligations are within the definition of "Senior Debt" included in such subordination provisions.

  • Subordination of Junior Financing The Obligations are “Senior Debt,” “Senior Indebtedness,” “Guarantor Senior Debt” or “Senior Secured Financing” (or any comparable term) under, and as defined in, any Junior Financing Documentation.

  • Subordinated Indebtedness The Obligations constitute senior indebtedness which is entitled to the benefits of the subordination provisions of all outstanding Subordinated Indebtedness.

  • Securities Subordinate to Senior Indebtedness The Company covenants and agrees, and each Holder of a Security, by its acceptance thereof, likewise covenants and agrees, that, to the extent and in the manner hereinafter set forth in this Article, the payment of the principal of (and premium, if any) and interest (including any Additional Interest) on each and all of the Securities of each and every series are hereby expressly made subordinate and subject in right of payment to the prior payment in full of all Senior Indebtedness.
