Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. 1. The Board shall: (a) enter into arrangements with each SO and WSUGs, as the case may be, under such terms and conditions, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board; (i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and (c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project. (a) In respect of each Batch, the Board shall enter into: (i) a Development Phase agreement with SOs as appropriate; and (ii) an Implementation Phase tripartite agreement with a SO and WSUC. (b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase. (c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes. 3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.

1. The Board Recipient, through the Palestinian Authority, shall cause PWA to be responsible for the implementation of the Project. PWA shall be assisted in the carrying out of its responsibilities by PMU. PMU shall be responsible for the procurement, disbursement, monitoring and evaluation processes under the Project, as well as the preparation of implementation progress reports.
2. The Recipient shall, not later than the conclusion of the first contract procured pursuant to Section I, Part B of Schedule 3 to this Agreement, hire a construction manager, whose responsibilities shall include the supervision and quality assurance of works implemented under the Project.
3. The Recipient, through the Palestinian Authority, shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set out in Schedule 6 to this Agreement, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, satisfactory of reference acceptable to the AssociationAdministrator, which shall and furnish to the Administrator, commencing December 31, 2003, until completion of the Project, quarterly progress reports and summary monthly progress statements, acceptable to the Administrator, covering the implementation of the Project during the preceding period, each such report and statement to include, inter alia, that: (i) each SO shall maintain separate accounts in respect a detailed break-down of each Scheme being carried out by such SO expenditures incurred under the Project in accordance with during the accounting manual prepared by preceding period;
(c) prepare, under terms of reference satisfactory to the Board as part of its Implementation Manuals; (ii) each SO shall Administrator, and furnish to the Board prior Administrator, on or about January 31, 2005, a mid-term report integrating the results of the monitoring and evaluation activities performed pursuant to each payment an updated Scheme accountssubparagraph (a) of this paragraph, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and and
(iiid) review with the Board Administrator, by March 31, 2006, or such later date as the Administrator shall not make any payment to such SO until request, the accounts report referred to in subparagraph (iic) herein have been found satisfactory by of this paragraph, and, thereafter, take all measures required to ensure the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end efficient completion of the Implementation Phase of each Batch, Project and the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes achievement of the Project; and
(c) The Board shall implement objectives thereof, based on the IPDP, in accordance with the objectives, policies, procedures, time schedules conclusions and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case agreed recommendations of the Development Phase agreement prior to commencement of Recipient and the Development PhaseAdministrator, and in case of their views on the Implementation Phase agreement prior to commencement of the Implementation Phasematter.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.

(iib) each SO shall prepare, under terms of reference satisfactory to the Bank, and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Bank, on or about June 30, 2000, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesBank, policiesby September 30, procedures2000, time schedules and other provisions set forth therein, to ensure that indigenous people in or such later date as the Project area Bank shall benefit fully from the activities financed under the Project.

3. The Board Borrower shall, prior to commencing the impounding of the Mohale reservoir: (a) submit to the Bank evidence that all affected households in the inundation zone have been: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such landsatisfactorily resettled; and (ii) compensated in accordance with the provisions of the EAP; (b) submit an action plan, acceptable to the Bank, for LHDA’s response to any seismicity that may result from the impounding of the reservoir; (c)
(i) complete the study referred to under Part E.2 of the Project; and (ii) promptly submit any results and recommendations thereof to the Bank for its review; and (d) design and implement measures for the management of downstream compensation releases from Matsoku, Katse and Mohale Dams, including but not commence such works limited to altering the operating regime releases and/or mitigating any adverse downstream impacts identified in locations where such land is needed until such the EAP, or as a memorandum result of understanding has been concludedthe study referred to under Part E.2 of the Project.

(b) prepare, under such terms and conditions, of reference satisfactory to the AssociationBank, and furnish to the Bank, on or about April 30, 2005, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) review with the Bank, by June 30, 2005 or such later date as the Bank shall request, the report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Bank’s views on the matter.
2. The Borrower, through MAFF, shall:
(a) maintain the PMU within MAFF with such staff and resources as shall be required for the PMU to perform its duties in respect of the overall management and implementation of the Project, in accordance with the PIP and satisfactory to the Bank; and
(b) establish, not later than thirty (30) days after the Effective Date, and thereafter maintain a Project Oversight Committee comprising the representatives of DOF, MAFF, Ministry of Public Finance, and civil society representatives, which shall include, inter alia, that: (i) each SO provide oversight and policy guidance for Project implementation. The Borrower shall maintain separate accounts in respect of each Scheme being carried carry out by such SO under the Project in accordance with the accounting manual prepared by PIP including an implementation plan for the Board as part Project and key instruments for the execution and coordination of its Implementation Manuals; the Project (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accountsincluding procurement and financial management procedures); and (iii) the Board shall not make any payment to such SO until amend the accounts referred to in subparagraph (ii) herein have been found satisfactory by PIP without the Board;Bank’s prior consent.

3. The Board shall: (i) Borrower shall ensure that any private land needed NFA receives adequate support and resources for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedthis purpose.

(a) MOWHC shall have overall responsibility for the implementation of the Project through RAFU. To this end, MOWHC shall continue to maintain RAFU with staffing and terms of reference satisfactory to the Association.
(b) The Borrower shall: (i) take all measures necessary, including, if required, the preparation of appropriate legislation, to establish the Road Agency; and (ii) if established thereafter, transfer to the Road Agency, RAFU’s responsibility for Project implementation.
(c) MOWHC shall ensure that Project implementation shall at all times be carried out in accordance with the PIP and the Financial Management Manual and, except as the Association shall otherwise agree, MOWHC shall not amend or waive any provision of the PIP or the Financial Management Manual so as to materially and adversely affect the implementation of the Project.
2. The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set forth in Schedule 5 to this Agreement, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Association, on or about 18 months after the Board shall not make any payment to such SO until Effective Date, a report integrating the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.

The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed review with the Association, between by 24 months after the WSUGs Effective Date, or such later date as the Association shall request, the report referred to in subparagraph (b) of this paragraph, and, thereafter, take all measures required to ensure the efficient completion of the Project and the owner achievement of such land; the objectives thereof, based on the conclusions and (ii) not commence such works in locations where such land is needed until such a memorandum recommendations of understanding has been concludedthe said report and the Association views on the matter.

(b) prepare, under such terms and conditions, of reference satisfactory to the AssociationBank, and furnish to the Bank, on or about June 30, 2005, a mid-term report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of Part B of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of Part B of the Project and the achievement of the objectives thereof during the period following such date; and
(c) review with the Bank, by October 31, 2005, or such later date as the Bank shall request, the mid-term report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure the efficient completion of Part B of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Bank’s views on the matter.
2. The Borrower shall maintain during the execution of Part B of the Project, the PIU with staff and resources as shall be required to perform its duties in respect of overall management and implementation of this part of the Project, including reporting on the implementation of this part of the Project to the Borrower’s Executive Director and Board of the Directors in a manner satisfactory to the Bank.
3. The Borrower shall: (a) at all times implement the FRP in a manner satisfactory to the Bank under Part B of the Project and carry out Part B of the Project in accordance with the FRP which shall include, inter alia, thatprovisions whereby: (i) each SO shall maintain separate accounts in respect the levels of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared tariffs proposed by the Board as part of its Implementation ManualsBorrower for approval by the Regulator shall progressively be sufficient to achieve full-cost recovery and financial self-sufficiency; (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accountsoperations will be run efficiently; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs certain financial and Schemes are satisfactory operational targets leading to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end progressive phase-out of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Projectsubsidies will be achieved; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.

1A. Project Implementation, Management and Coordination The MEM shall have overall responsibility for the implementation of the Project. In order to ensure proper management and coordination of the Project, MEM shall, not later than one year after effectiveness of this Agreement, staff the PMU with professional personnel in adequate number, whose experience and terms of reference shall be acceptable to the Bank. The Board PMU shall be headed by a Project Manager. The PMU shall be responsible for, inter alia, the procurement and disbursement processes under the Project and the supervision of its execution. To this end, the Project Manager shall be assisted by a procurement specialist, an accountant and experts of, respectively, the mining, hydrocarbon and electricity sectors, on the basis of qualifications and terms of reference satisfactory to the Bank. The Borrower shall ensure that a financial management specialist in charge of payments for contracts financed under the Project be appointed within BAD.
B. Mid-Term Review The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO indicators acceptable to the Bank, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the AssociationBank, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Bank, on or about December 31, 2002 a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesBank, policiesby February 28, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in 2003 or such later date as the Project area Bank shall benefit fully from the activities financed under the Project.
(a) In respect of each Batchrequest, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.

3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs said report and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedBank’s views on the matter.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1(a) The Borrower shall prepare and furnish to the Association a Project Implementation Manual in form and substance satisfactory to the Association setting out details of all procedures, guidelines, timetables and criteria required for the Project.
(b) The Borrower shall carry out the Project in accordance with the Project Implementation Manual and, except as the Association shall otherwise agree, the Borrower shall not amend or waive any provision of the Project Implementation Manual if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the carrying out of the Project or the achievement of the objectives thereof.
2. The Board Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set forth in Schedule 6 to this Agreement: (i) the carrying out by the Borrower of the Project; and WSUGs, as (ii) the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to Association, on or about March 31 and September 30 of each payment an updated Scheme accounts; and (iii) year, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase of each Batch, the adequacy of such eligibility criteria monitoring and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the evaluation activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into performed pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phasethis Section, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, includingon: (i) a clear definition of the role and responsibilities of each party thereto; (ii) progress achieved in respect of any Scheme for renovation or construction under Part B the carrying out of the Project, communities for whom such Schemes are carried during the period preceding the date of said report and setting out will be required the measures recommended to contribute, up-front and through ensure the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for efficient carrying out of the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such landProject; and (ii) not commence the achievement of the objectives thereof during the period following such works date;
(c) review with the Association by May 31 and November 30 of each year, or such later date as the Association shall request, the report referred to in locations where such land is needed until such subparagraph (b) of this paragraph, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter; and
(d) The Borrower shall prepare and furnish to the Association no later than January 30th in each year of the Project an action plan (the Action Plan) including an annual work plan and budget and procurement plan in form and substance satisfactory to the Association.
(a) The Borrower shall, no later than December 31, 2002, carry out jointly with the Association, a memorandum mid-term review of understanding has been concludedthe progress made in carrying out their respective Parts of the Project. The Mid-Term Review shall cover, among other things, the progress made in meeting the objectives of the Project; and (ii) the overall performance of the Borrower of the Project.
(b) The Borrower shall carry out, no later than one month after the completion of the Mid-Term Review the recommendations of the Mid-Term Review as agreed with the Association and set out in an action plan for the respective Parts of the Project satisfactory to the Association.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1. The Board shallFoundation shall implement the Project in accordance with the Implementation Plan, the Community Operational Manual, and the Environmental Management Framework agreed with the Association, and except as the Association shall otherwise agree, the Foundation shall not amend or waive any provision thereof if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the implementation of the Project. The Foundation shall ensure that throughout project implementation period its chief executive officer shall be assisted by suitably qualified and experienced procurement, financial, and operational specialists and other staff in adequate numbers, whose qualifications and experience are satisfactory and acceptable to the Association, to perform project implementation and monitoring functions. The Foundation shall appoint by no later than September 30, 2004, and thereafter maintain during project implementation period, internal auditors, whose qualifications and experience are satisfactory and acceptable to the Association. The Foundation shall establish by no later than September 30, 2005, and thereafter maintain during the Project implementation period, a satisfactory computerized financial management system for the Project that is acceptable to the Association. The Foundation shall ensure that:
(a) enter into arrangements Sub-Projects are selected and appraised in accordance with each SO the criteria and WSUGsprocedure specified in the Implementation Plan and the Community Operational Manual;
(b) Sub-Grants are released to Village Organizations and Pradeshiya Sabhas implementing the project in a timely manner in accordance with Sub-Grant Agreements, as the case may be, under such terms which are in form and conditions, satisfactory substance acceptable to the Association; and
(c) the Sub-Grant Agreements shall specify, which shall include, inter aliaamong other things, that: (i) each SO Sub-Grants shall maintain separate accounts in respect be used exclusively to finance goods, works, and services required for preparation, approval, and implementation of each Scheme being carried out by such SO under the Project village development plans and in accordance with terms and conditions set forth in the accounting manual prepared by the Board as part of its Implementation ManualsCommunity Operational Manual; (ii) the amount of each SO Sub-Grant shall furnish be calculated according to a predetermined cost-sharing formula as agreed with the Board prior to each payment an updated Scheme accountsAssociation and specified in the Community Operational Manual; and (iii) the Board goods, works, and services shall not make any payment to such SO until the accounts be procured in accordance with procedures referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs this Agreement and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the ProjectCommunity Operational Manual.

(ib) ensure that eligibility criteria for the selection prepare, under terms of SOs and Schemes are reference satisfactory to the Association; (ii) select SOs , and Schemes in accordance with such eligibility criteria; and (iii) reviewfurnish to the Association, at on or about August 31, 2005, a report integrating the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) review with the Association, by September 30, 2005, or such later date as the Association shall request, the adequacy report referred to in paragraph (b) of such eligibility criteria this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter.
2. Under Part A of the Project, ADF shall, if necessary, revise such criteria in a manner satisfactory :
(a) make available to the Beneficiaries grants referred to in the Regulations and Operational Guidelines under agreements to be entered into between ADF and each Beneficiary, under the terms and conditions referred to in the Regulations and Operational Guidelines and which shall have been approved by the Association; and
(b) exercise its rights under such agreements in such manner as to protect the interest of the Association and ADF and to accomplish the purposes of the Project, and shall not assign, amend, abrogate or waive any of such agreements, or any provisions thereof.
3. ADF shall:
(a) coordinate and monitor the overall execution of the Project and supervise the carrying out by the Beneficiaries of their obligations pursuant to their respective agreements in accordance with policies and procedures satisfactory to the Association;
(b) not later than November 30 of each year, prepare and furnish to the Association for review and comment, work plans and budgets for activities under each Part for the next calendar year, which would include, among other things, specific proposals for the use of ▇▇▇▇▇▇▇▇’s contribution; and
(c) The Board by January 31, April 30, July 31 and October 30 of each year, prepare and furnish to the Association for review a report, of such scope and detail as the Association shall implement reasonably request, on the IPDP, in accordance with progress of and the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under execution of the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.

(b) The Borrower shall include, inter alia, thatrequire the PIU to: (i) each SO shall maintain separate accounts arrangements satisfactory to the Bank, for the overall coordination and supervision of Project implementation; (ii) employ consultants, with qualifications and terms of reference satisfactory to the Bank, to assist in respect the carrying out of each Scheme being carried out by such SO the Project; (iii) ensure that Training Fund Subprojects under Part A of the Project shall be made in accordance with the accounting manual prepared by requirements and other details set forth in the Board as part of its Implementation ManualsOperational Manual; (iiiv) each SO ensure that institutions carrying out Part A of the Project are selected in accordance with the criteria set forth in the Operational Manual; (v) require that: (A) the goods and consultants’ services to be financed out of the Training Fund Subprojects under Part A of the Project shall furnish to be procured at a reasonable price, account being taken also of other relevant factors such as time of delivery and efficiency and reliability of the Board prior to each payment an updated Scheme accountsgoods and availability of maintenance facilities and spare parts therefor, and, in the case of cons ultants’ services, of their quality and the competence of the parties rendering them; and (iiiB) such goods and services shall be used exclusively in the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection carrying out of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteriaTraining Fund Subprojects; and (iiivi) reviewreview with the Bank, at such intervals as the end of the Implementation Phase of each BatchBank or PIU shall request, the adequacy of Operational Manual, and, based on such eligibility criteria reviews, update the same as may be agreed between the Bank and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; andPIU.
(c) The Board Borrower shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.

1. The Board NEA shall, until the completion of the Project, maintain qualified and experienced staff in adequate numbers, and shall prepare and submit to the Association on a trimestrial basis, a report on the progress of the implementation of Part C of the Project.

NEA shall carry out Part C of the Project in accordance with procedures set out in the NEA Implementation Plan and in the Policy Framework for Environmental and Social Impact Assessment, and except as the Association shall otherwise agree, shall not amend or waive any provisions thereof, if such amendments or waiver may, in the opinion of the Association, materially or adversely affect the implementation of Part C of the Project.
3. NEA shall:

(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior Association, on or about June 15, 2002, a report integrating the results of the monitoring and evaluation activities performed pursuant to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;paragraph
(ia) ensure that eligibility criteria for of this Section, on the selection of SOs and Schemes are satisfactory to progress achieved in the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end carrying out of the Implementation Phase Project during the period preceding the date of each Batch, said report and setting out the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory measures recommended to ensure the Association to accomplish the purposes efficient carrying out of the ProjectProject and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesAssociation, policiesby July 31, procedures2002, time schedules and other provisions set forth thereinor such later date as the Association shall request, the report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure that indigenous people in the efficient completion of the Project area and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter.
3. The Authority shall benefit fully from carry out a comprehensive review and evaluation of the activities financed under appropriate institutional arrangements and management with a view of making it a more effective and efficient institution. To this end, the Project.Authority shall furnish to the Association its restructuring plan, including an organogram, job descriptions, timeframe and procedures for implementation
(a) In respect of each Batch, the Board shall enter into:
The Authority shall: (i) establish and thereafter maintain a Development Phase agreement Procurement Unit with SOs as appropriatefunctions, staffing and resources satisfactory to the Association; and
and (ii) an Implementation Phase tripartite agreement employ and assign to the Procurement Unit a Procurement Officer with a SO qualifications and WSUCexperienced satisfactory to the Association.
(b) Each agreement The Authority shall take all measures necessary to be entered into pursuant establish the Procurement Unit and assign to paragraph (a) above shall be entered the Procurement Unit a Procurement Officer selected in accordance with Section II of Schedule 1 to the case of the Development Phase agreement prior to commencement of the Development PhaseProject Agreement by August 1, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase2001.
(c) Each agreement Procurement under the Project shall be carried out by the Authority in close collaboration with the Lead Agency responsible for carrying out the various Parts of the Project. The Procurement Unit shall, on behalf of the Authority, consolidate the individual needs and procurement plans of the said Lead Agency into an overall annual procurement plan for the Project. The functions of the said Lead Agency shall include the preparation of lists of requirements and annual procurement plans for works, goods and services to be entered into pursuant to paragraph procured under their respective Project components.
(ad) above The Procurement Unit shall be made on terms and conditions satisfactory to the Association, includingpromptly arrange for: (i) a clear definition the consolidated annual work plans and procurement plans for the Project to be reviewed by the Board of Directors of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such landAuthority; and (ii) not commence such works the said plans to be sent to the Association for its approval. Progress in locations where such land achieving the project objectives will be evaluated on the basis of the following key performance indicators:
1. Outcomes from environmental protection and rehabilitation activities implemented within target districts. Impact of activities planned for under the DEAP process and implemented within the District Development Plans will be monitored by DDP progress reports and by NEMA review.
2. Measurable changes in Ugandan’s behavior from environmental awareness campaigns. Measured as statistically significant before and after changes in attitudes and behavior.
3. Increasing level of compliance amongst regulated community. Compliance is needed until such a memorandum measured as conformity to regulation within sectors and progress on mediation strategy for 21 of understanding has been concludedmost polluting industries. Changes will be measured as improvement from baseline figures established at project effectiveness.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1. The Board Borrower shall implement the Project in accordance with the procedures, guidelines, timetables and criteria set forth in the PIM and, except as the Association shall otherwise agree, the Borrower shall not amend or waive any provision of said PIM if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the implementation of the Project.
2. The Borrower shall, for the purposes of carrying out the Project, establish and thereafter maintain: (a) the SC with membership and oversight functions and responsibilities satisfactory to the Association; and (b) the PU, with functions, responsibilities and qualified staff in adequate numbers, all satisfactory to the Association.
3. The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set forth in Schedule 6 to this Agreement, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to Association, by March 31 of each payment an updated Scheme accounts; and (iii) year, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. A. Project Management
1. The Board Borrower shall:
(a) enter into arrangements carry out the Project in accordance with each SO and WSUGsthe provisions of the Project Implementation Manual, as adopted by the case may bePIU and shall ensure that the provisions of such Project Implementation Manual are not amended without the prior consent of the Association;
(b) maintain the PIU at least until Project completion, headed by an individual whose qualifications and experience are satisfactory to the Association; and ensure that the PIU has appropriate facilities and is staffed with sufficient personnel with adequate qualifications;
(c) cause the PIU, under the general supervision of the Board, to carry out the responsibilities for coordination and management of Project implementation which shall include: (i) the preparation and furnishing to the Association, for its concurrence, of annual work programs in respect of the Project; (ii) the preparation of procurement and contract documents under the Project; (iii) the maintenance of the Project’s financial records, including in respect of the Special Account and the Project Account; (iv) the supervision of work under the Project, in close coordination with the Board and the Ministry; and (v) the preparation and furnishing to the Board and the Association, of quarterly reports on the status of Project implementation; and
(d) employ a management advisor, financial advisor, procurement specialist and monitoring and evaluation specialist in accordance with the provisions of Section II of Schedule 3 to this Agreement no later than May 1, 1998.
2. Until Project completion, the Borrower shall maintain the Project Account and make quarterly deposits therein in such terms amounts as shall be adequate to finance the Borrower’s contribution to the Project in a timely manner.
B. Part A of the Project
1. The Borrower shall: (a) assign the responsibility for the carrying out, review and conditionsapproval of works included in Part A of the Project to the PIU and shall, for this purpose, cause the PIU to designate not later than April 1, 1998 from among its staff an official with suitable qualifications and experience satisfactory to the Association, to be responsible for the management of said Part; (b) cause the Committee which will be responsible for the selection of activities to be carried out under Part A of the Project, to collaborate effectively with the PIU and cause the PIU to provide technical assistance to the Committee, as needed.
C. Part B of the Project
1. In carrying out Part B of the Project, the PIU shall: (i) prepare and furnish to the Bank, for its concurrence, a detailed plan, including the engineering designs, social and environmental analysis and procurement plan, prior to the carrying out of the restoration works in Old Tbilisi; (ii) prepare and furnish to the Association site management plans in such scope and detail as the Association shall request in respect of the site at Signaghi or any other site included in Part B of the Project; and (iii) thereafter carry out said plans in accordance with the time schedule set forth therein;
2. The PIU shall adopt and implement procedures to ensure active participation of local residents and other stakeholders, such as private vendors, tourism associations, interested investors and municipal bodies, in the preparation and implementation of the plan referred to in paragraph (1) above.
3. The Borrower shall carry out the resettlement plan referred to in Section 3 (ii) of Schedule 1 in accordance with principles and guidelines agreed with the Association and pursuant to a time-bound action plan, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect be prepared on the basis of each Scheme being carried out by such SO under said guidelines and furnished to the Project Association in accordance with the accounting manual prepared by the Board as part provisions of its Implementation Manuals; Section 3 (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the ProjectSchedule 1.
(a) In respect of each Batch, the Board shall enter into:

3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.

The Project Implementation Plan shall, inter alia, set out, with each SO respect to Part D of the Project: (i) the eligibility criteria and WSUGs, as the case may be, under such terms and conditions, satisfactory to the Association, which for the provision of a Grant to any Beneficiary; and (ii) procedures and guidelines, satisfactory to the Association, applicable to the carrying out of the said Part of the Project.
(b) The Borrower shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried carry out by such SO under the Project in accordance with the accounting manual prepared by Project Implementation Plan, and except as the Board as part of its Implementation Manuals; (ii) each SO Association shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board otherwise agree, shall not make amend or waive any payment provision of the Project Implementation Plan, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the carrying out of the Project.
2. The Borrower shall:
(a) maintain policies and procedures adequate to such SO until enable it to monitor and evaluate on an ongoing basis, in accordance with the accounts referred performance indicators set forth in Schedule 6 to in subparagraph (ii) herein have been found satisfactory by this Agreement, the Boardcarrying out of the Project and the achievement of the objectives thereof;
(ib) ensure that eligibility criteria for the selection prepare, under terms of SOs and Schemes are reference satisfactory to the Association; (ii) select SOs , and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory furnish to the Association to accomplish and other Project Partners, no later than October 30 of each year, an annual health sector report integrating the purposes results of the Projectmonitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said Report, the status of performance indicators as described in Schedule 6 to this Agreement, and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesAssociation and Project Partners, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect no later than November 15 of each Batchyear or such later date as the Association shall agree, the Board report referred to in paragraph (b) of this Section. The review shall enter into:
cover, among other things (i) a Development Phase agreement with SOs as appropriatethe progress made in meeting the objectives of the Project; and
and (ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered the Borrower’s overall performance in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B execution of the Project. Thereafter, communities for whom such Schemes are carried out will be the Borrower shall take all measures required to contributeensure the efficient completion of the Project and the achievement of the objectives thereof, up-front based on the conclusions and through recommendations of the relevant WSUG, all skilled said report and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective SchemesAssociation’s views on the matter.
3. The Board Borrower shall:
(ia) ensure that any private land needed for water supply no later than November 15, 2002, or such other date as the Borrower and other construction under the Association shall determine, carry out (jointly with the Association and the Project has been provided Partners) a midterm review and evaluation of progress made towards the achievement of the Project’s objectives, including an evaluation of the progress achieved in meeting the targets agreed by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs Borrower and the owner Association as necessary for the attainment of such landsaid Project objectives; and
(b) no later than June 30, 2003, submit to the Association an overall assessment of the results achieved in the execution of the Project and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedthe Borrower’s readiness to move into the second phase of the Program.

A. Overall Project Implementation
1. The Board shall:Borrower shall cause the PA to vest the responsibility for implementing Parts A and C (i) of the Project in MOI and Part C (ii), as well as the environmental aspects of the Project, in PENA. MOI shall be assisted in the carrying out of such responsibilities by PCU which shall be responsible, inter alia, for the coordination of the implementation of the Project and the supervision of the execution thereof.
2. In order to achieve the objectives of the Project, the Borrower shall cause the PA to: (a) enter into arrangements maintain PCU, within MOI, with each SO professional staff in adequate numbers, whose qualifications and WSUGsexperience shall be acceptable to the Administrator, as to coordinate, supervise and report to the case may beAdministrator on the execution of Parts A and C of the Project and the procurement of goods and services thereunder; (b) employ consultants, in accordance with the provisions of Section II of Schedule 3 to this Agreement, with qualifications and experience, under such terms of reference and conditionsin accordance with time schedules acceptable to the Administrator, to assist in the carrying out of Parts A and C of the Project; and (c) ensure that training activities under Part C of the Project shall be carried out in accordance with programs, including time-schedules for the implementation thereof, and criteria for the selection of candidates thereunder, agreed between the PA and the Administrator.
3. The Borrower shall cause the PA to establish, not later than September 30, 1997, and thereafter maintain, arrangements, satisfactory to the AssociationAdministrator, pursuant to which PIECO shall implement Part B of the Project, such arrangements to include, inter alia, thatthe obligation of PIECO to prepare and furnish to the PCU, for inclusion in the progress reports referred to in paragraph C of this Schedule, all information required to assess the progress in implementing Part B of the Project and the achievement of the objectives thereof.
4. The Borrower, through the PA, shall cause ▇▇▇▇ to: (ia) each SO shall maintain separate accounts in respect carry out Part C (ii) of each Scheme being carried out by such SO under the Project with due diligence and efficiency; (b) ensure implementation of all environmental aspects of the Project in accordance with the accounting manual prepared by framework, criteria, requirements and other details set out in the Board as part Environmental Manual; and (c) prepare and furnish to the PCU, for inclusion in the progress reports referred to in paragraph C of its Implementation Manuals; this Schedule, all information required to assess the progress in implementing Part C (ii) each SO and all environmental aspects of the Project, and the achievement of the objectives thereof.
5. The Borrower shall furnish cause the PA, not later than December 31, 1998, to take all action necessary on its part to (a) transfer to PIFZA all of the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts responsibilities of MOI referred to in subparagraph under paragraph A.1 of this Schedule; and, thereafter (ii) herein have been found satisfactory by the Board;
(ib) ensure that eligibility criteria for the selection of SOs PIFZA shall carry out its operations and Schemes are satisfactory to the Association; (ii) select SOs and Schemes conduct its affairs in accordance with such eligibility criteria; sound administrative, financial, engineering and (iii) review, at environmental practices under the end supervision of qualified and experienced management assisted by competent staff in adequate numbers.
B. Cost Recovery under Part A of the Implementation Phase of each BatchProject The Borrower shall cause the PA to establish and collect, commencing not later than December 31, 2002, charges sufficient to recover from the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes beneficiaries of the Project; andservices referred to under Part A of the Project the total amount of the recurrent costs of operating and maintaining the structures, systems and networks required to provide said services, all in accordance with guidelines agreed upon between the PA and the Administrator.
C. Progress Reports and Mid-Term Review The Borrower shall cause PA to: (ca) The Board shall implement the IPDPmonitor and evaluate, on an on-going basis, in accordance with indicators agreed with the objectivesAdministrator, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the carrying out of the Project area shall benefit fully from and the activities financed under achievement of the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriateobjectives thereof; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case prepare, under terms of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions reference satisfactory to the AssociationAdministrator, includingand furnish to the Administrator: (i) a clear definition of the role not later than March 31 and responsibilities September 30 of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B year until completion of the Project, communities for whom such Schemes are carried commencing March 31, 1998, a report, integrating the results of the monitoring and evaluation activities performed pursuant to subparagraph (a) above, on the progress achieved in the carrying out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by during the owner period of six (6) months preceding the date of such land in a voluntary mannerreport, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence later than December 31, 2000, a mid-term report, integrating the data and other information contained in the reports prepared pursuant to subparagraph (b) (i) above, on the progress achieved in the carrying out of the Project during the period preceding the date of said mid-term report and setting out the measures recommended to ensure the efficient carrying out of the Project during the period following such works in locations where date; and (c) review with the Administrator each such land is needed until such a memorandum report, and, thereafter, take all measures required to ensure the efficient implementation of understanding has been concludedthe Project and the achievement of the objectives thereof, based on the conclusions and recommendations of said report and the Administrator’s views on the matter.

The Board Except as the Association shall otherwise agree, GAMWORKS shall carry out Parts A, B.2 and B.3 of the Project in accordance with the Framework Agreement, the MOP and the PIP and shall not amend the Framework Agreement, the MOP and the PIP or waive any provision thereof which, in the opinion of the Association, will materially or adversely affect the implementation of the Project.
2. GAMWORKS shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO and WSUGs, as the case may be, under such terms and conditions, indicators satisfactory to the Association, which the carrying out of Parts A, B.2 and B.3 of the Project and the achievement of the objectives thereof;
(b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association, on or about September 30, in each year, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of Parts A, B.2 and B.3 of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date;
(c) review with the Association, by December 31 of each year, or such later date as the Association shall includerequest, inter aliathe report referred to in paragraph (b) of this Section, thatand, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter;
(d) carry out, jointly with the Borrower and the Association, no later than December 31, 2000, a mid-term review of the progress made in carrying out of Parts A, B.2 and B.3 of the Project. The said mid-term review shall cover, among other things: (i) each SO shall maintain separate accounts progress in respect of each Scheme being carried out by such SO under meeting the Project in accordance with the accounting manual prepared by the Board as part of its Implementation ManualsProject’s objectives; and (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory performance by the Board;
(i) ensure that eligibility criteria for the selection GAMWORKS of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of its obligations under the Project; and
(ce) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case recommendations of the Development Phase agreement prior review referred to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.subparagraph

1. The Board shall:
(a) enter Borrower shall assign the general responsibility for Project implementation to SDFRSDF under an Subsidiary Implementation Agreement to be entered into arrangements with each SO between the Borrower, and WSUGs, as the case may be, GSG and SDFRSDF under such terms and conditions, satisfactory to conditions which shall have been agreed upon with the Association, Bank and which shall include, inter alia, thatprovisions whereby: (ia) each SO the Borrower, acting through GSG, shall maintain separate accounts make the proceeds of the Loan available to SDFRSDF in respect the form of each Scheme being carried out by such SO under a grant budgetary allocation; (b) SDFRSDF shall be required to implement the Project in accordance with the accounting manual prepared by SDFRSDF Law, the Board Operational Manual and the provisions of this Loan Agreement; and (c) SDFRSDF shall be required as part of its Implementation Manualsresponsibility for Project implementation: (i) to prepare and furnish to the Bank, by March 31 in each year, for its review and concurrence, an annual work program for the Project; (ii) to maintain the Project financial records and accounts and to arrange for the audit thereof; (iii) to prepare applications for withdrawal of the proceeds of the Loan; (iv) to assist the RecipientBenefsiciaries in the preparation of bidding and contract documents for activities to be financed under the Grant Agreement; (v) to supervise the implementation of the Project, including supervising the progress of each SO shall Subproject; and (vi) to prepare and furnish to the Board prior Borrower and the Bank, starting in June 1999, semi-annual reports on the progress of Project implementation, based on the indicators set forth in the Program.
2. The Borrower shall ensure the adoption by the Steering Committee, on the basis of the SDFRSDF’s Law, of an Operational Manual satisfactory to each payment an updated Scheme accountsthe Bank to govern SDFRSDF’s activities under the Project. The Operational Manual shall cover such matters as: (a) eligibility criteria for RecipientsBeneficiaries; (b) the principles and procedures to be followed for the approval of Subprojects; (c) the terms and conditions to be included in the Grant Agreements; (d) the indicators to be utilized by SDFRSDF in monitoring the progress of the Project; and (iiie) the Board shall not make any payment financial management system to such SO until be adopted by SDFRSDF to control the accounts referred use of funds made available to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria it for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and.
(c) 3. The Board Borrower shall implement the IPDPcause SDFRSDF to ensure participation by RecipientsBeneficiaries, in accordance with the objectives, policies, procedures, time schedules and other provisions principles set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each BatchOperational Manual, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case preparation of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation PhaseSubprojects.

A. Implementation Responsibilities
(1. ) The Board shall:
PIT, acting under the direction of the Project Manager, shall bear all technical responsibilities to implement the Project as described in the PIP, including: (a) enter into arrangements preparation of an annual plan for Project implementation; (b) preparation, with each SO the assistance of consultants, the Federation and WSUGsRepublika Srpska of bidding and contract documents under the Project; (c) the maintenance of the Project financial records and accounts and arranging for the audit thereof; (d) preparation of the quarterly reports on Project progress, as referred to in Part B of this Schedule; and (e) supervision of progress of Project implementation.
(2) The Federation, acting through the case may beFCA, shall ensure that the PIT shall be maintained until the completion of the Project under such terms of reference and conditions, with staff and other measures satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(3) The Federation shall ensure: (a) In respect of that each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant annual plan for Project implementation referred to paragraph (a1) above shall be entered prepared after a review between the Federation and the Association of progress in meeting the targets indicated in the case PIP, including the targets set forth in the Annex to this Schedule; and (b) that the inclusion of investments and other Project activities in said plan, as well as the Development Phase procurement arrangements thereof, shall be made in agreement prior to commencement of between the Development PhaseFederation and the Association, and taking into account the requirements set forth in case of the Implementation Phase agreement prior to commencement of the Implementation PhaseEnvironmental Management Plan.
(c4) Each agreement to be entered into pursuant to paragraph The Federation shall: (a) above shall be made on terms and conditions satisfactory to maintain its participation in the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kindRSC; and (iiib) an under taking inform the Association of actions taken at the RSC level which may affect the implementation of the Regional Program or of measures included in the PIP.
(5) The Federation shall ensure the establishment and functioning, by benefiting communities for March 31, 2001, of mechanisms at all border agencies to provide the provisionFacilitation Coordinator with current information to be made available to customs users, on waiting times and opening hours at border crossing and customs regulations and procedures of border agencies.
(6) The Federation shall ensure, in cash or in kind coordination with the PIT, that the contracts under Parts A.1 and A.3 of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land are implemented in a voluntary manner, and in accordance with a memorandum of understanding, agreed compliance with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedbidding documents.

The Board Borrower shall carry out the Project through SECF in accordance with the procedures set forth in the PIM and, except as the Association shall otherwise agree, shall not amend or waive any provision of said PIM if, in the opinion of the Association, such amendment or waiver may materially or adversely affect the implementation of the Project.
2. The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with the indicators agreed upon between the Borrower and the Association, the carrying out of the Project and the achievement of the objectives thereof;
(b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association, on or about March 30 and September 30 of each SO year until the Completion Date, a report integrating the results of the monitoring and WSUGsevaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) review with the Association within one month of the receipt of the report referred to in subparagraph (b) of this paragraph by the Association, or at such later date as the Association shall request, said report and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association views on the matter.
(a) Not later than 18 months after the Effective Date or such later date as the Borrower and the Association shall agree upon, the Borrower and the Association shall carry out a mid-term review (hereinafter referred to as the Mid-Term Review). The Borrower shall take all action it considers necessary to ensure the participation of representatives of Beneficiaries in such Mid-Term Review. Such Mid-Term Review shall cover the progress achieved in the implementation of the Project and draw conclusions pertaining to the future expansion of the Project, based on an assessment of the monitoring and evaluation indicators referred to in paragraph 2 of this Schedule.
(b) Not later than one month prior to the Mid-Term Review, the Borrower shall furnish to the Association, for review and comment, a report, in such detail as the Association shall reasonably request, on the implementation of the Project.
(c) Following such Mid-Term Review, the Borrower shall act promptly and diligently in order to take any corrective action deemed necessary by the Association to remedy any shortcoming noted in the implementation of the Project, as the case may be, under or to implement such terms and conditions, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board other measures as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein may have been found satisfactory by agreed upon between the Board;
(i) ensure that eligibility criteria for Borrower and the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes Association in accordance with such eligibility criteria; and (iii) review, at the end furtherance of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes objectives of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.

(b) prepare, under terms of its Implementation Manuals; (ii) each SO shall reference satisfactory to the Bank, and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Bank, on or about ______________________, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesBank, policiesby ________________________, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in or such later date as the Project area Bank shall benefit fully from the activities financed under the Project.

Selection of all consultants’ services shall be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and undertaken in accordance with a memorandum of understanding, agreed with such selection plan (as updated from time to time) as shall have been approved by the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedBank.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth Association may, at its own discretion, carry out post review of any contract awarded in paragraph 4 accordance with this Section. The Borrower shall carry out procurement review of Appendix 1 to such contracts by independent consultant in accordance with the Consultant Guidelines shall applyprovision of Borrower’s Procurement Regulations.
1. The Board Borrower shall carry out Parts B, D, E and F of the Project through MOF, and Part C of the Project through the PMO.
2. The Borrower shall establish a Project Coordination Unit (PCU) in the Finance Division of the MOF to guide, supervise, coordinate and monitor all major activities under the Project. The overall Project shall be executed and managed by the Finance Division of the MOF, with the Additional Secretary of the Finance Division as the Project Coordinator. The specific technical assistance support for the PC, BOI, and BEPZA will be executed by those agencies, with the involvement of the MOF, the Borrower’s Ministry of Jute, the Borrower’s Ministry of Textiles, the Borrower’s Ministry of Industry, the Privatization Commission, BOI and BEPZA.
3. The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the Indicators set forth in Schedule 6 to this Agreement, the carrying out of Parts B, C, D, E and WSUGs, as F of the case may beProject and the achievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Association, on or about December 31, 2006, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of Parts B, C, D, E and F of the Project and the achievement of the objectives thereof during the period following such date; and

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1. The Board Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO indicators acceptable to the Bank, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the AssociationBank, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior Bank, on or about July 31, 2002, a report integrating the results of the monitoring and evaluation activities performed pursuant to each payment an updated Scheme accountsparagraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and and
(iiic) review with the Board Bank, by October 31, 2002, or such later date as the Bank shall not make any payment to such SO until request, the accounts report referred to in subparagraph paragraph (iib) herein of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Bank’s views on the matter.
2. The Borrower shall establish and maintain a Supervisory Board, comprising representatives of the COM, MOF, and CBU to supervise and coordinate the implementation of the Project.
3. The Borrower shall establish and maintain a Project Implementation Unit to assist MOF and the CBU to carry out their respective parts of the Project, and shall entrust such functions and powers, and provide such funds, facilities and resources thereto, including qualified and experienced staff in adequate numbers, as may be deemed necessary by the Bank.
(a) To enable the CBU to carry out Parts A, B, C, D and F of the Project, the Borrower shall make a part of the proceeds of the Loan available to the CBU under a Project Implementation and Subsidiary Loan Agreement entered or to be entered into between the Borrower and the CBU, under terms and conditions which shall have been found satisfactory approved by the Board;Bank.
(ib) ensure that eligibility criteria for The Borrower shall exercise its rights under the selection of SOs and Schemes are satisfactory PISLA in such manner as to protect the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end interests of the Implementation Phase of each Batch, Borrower and the adequacy of such eligibility criteria Bank and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; Loan, and
(c) The Board , except as the Bank shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each Batchotherwise agree, the Board Borrower shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUCnot assign, amend, abrogate or waive the PISLA or any provision thereof.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.

The Board PPWSA shall maintain, until completion of the Project, the PPWSA PMO, headed by a qualified and experienced officer, with such functions, responsibilities and funds, satisfactory to the Association, and with competent staff in adequate numbers, as shall be required for implementation of Part B of the Project, including: (i) engaging the services of contractors and consultants to carry out implementation of Part B of the Project; (ii) approval of payments from the PPWSA Special Account to contractors and consultants for expenditures incurred for carrying out Part B of the Project; and (iii) monitoring and evaluation of impacts under Part B of the Project, including its environmental and social impacts.
2. PPWSA shall:
(a) enter into arrangements carry out Part B of the Project in accordance with each SO and WSUGs, as the case may be, under such terms and conditionsPPWSA Project Implementation Plan, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manualsimplementation arrangements; (ii) each SO shall furnish the procurement procedures set forth in Schedule 1 to this Agreement and standard procurement documentation; (iii) reporting requirements, financial management procedures and audit procedures as set forth in Article 4 of this Agreement; (iv) the Board prior to each payment an updated Scheme accountsproject performance indicators set forth in a supplemental letter of even date herewith; (v) measures required under Guidelines on Resettlement and Compensation of Land and Other Assets, the Ethnic Minorities Development Strategy, and the Environmental Assessments; and (iiivi) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria procedures for the selection of SOs monitoring and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end reporting of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes progress of the Project; and
(cb) The Board shall implement not amend, waive or abrogate the IPDP, in accordance with provisions of the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in PPWSA Project Implementation Plan without the Project area shall benefit fully from prior concurrence of the activities financed under the Project.
Association. PPWSA shall: (a) In respect design chart of each Batchaccounts and install a specialized financial management software for the PPWSA PMO, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement appoint a project accountant and an assistant accountant with terms of reference satisfactory to be entered into pursuant to paragraph (a) above shall be entered in the case of Association for the Development Phase agreement prior to commencement of the Development PhasePPWSA PMO, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement provide accounting and disbursement training to be entered into pursuant to paragraph (a) above shall be made on terms the staff of the PPWSA PMO; all in a manner and conditions substance satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.

(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase of each Batch, the adequacy of such eligibility criteria monitoring and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the evaluation activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into performed pursuant to paragraph (a) above shall be entered of this Section, on the progress achieved in the case carrying out of the Development Phase agreement prior Project and the Program during the period preceding the date of said report and setting out the measures recommended to commencement ensure the efficient carrying out of the Development Phase, Project and in case the Program and the achievement of the Implementation Phase agreement prior to commencement of objectives thereof during the Implementation Phase.period following such date;
(c) Each agreement review with the Association, by December 1, 2002 or such later date as the Association shall request, the report referred to be entered into in paragraph (b) of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project and the Program and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter;
(d) prepare, under terms of reference satisfactory to the Association, and furnish to the Association, on or about October 30, 2003, or such later date as the Association shall request, a mid-term report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) above of this Section, on the progress achieved in the carrying out of the Project and of measures included in the Program during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the Program and the achievement of the objectives thereof during the period following such date;
(e) review with the Association, by December 1, 2003 or such later date as the Association shall request, the report referred to in paragraph (d) of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Project, Program and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter; and
(f) as part of the mid-term review mentioned in paragraph (d) above, the Association may require the Borrower to prepare an action plan satisfactory to the Association, with the adjustments necessary for the efficient carrying out of the Project, the Program and the achievement of the objectives thereof during the period following such date. In such event, the Borrower shall not later than thirty (30) days after the conclusion of each such review, or such later date as the Association shall request, furnish to the Association said action plan, and shall thereafter carry out or cause to be made on carried out, such action plan in accordance with its terms.
(a) Except as the Borrower and the Association shall otherwise agree, the Borrower shall provide, through MoE, evidence satisfactory to the Association, by no later than thirty (30) days after the annual budget has been approved by the Borrower’s Parliament of each year during Project implementation, starting as of 2002, that sufficient resources have been allocated in the Borrower’s annual budget to cover all the counterpart funding requirements under this Project for the year in question, including counterpart funding requirements for NAEC and PCU;
(b) without limitation upon the provisions of Section 3.01 of this Agreement, the Borrower shall: (a) maintain throughout the course of Project implementation the Project Account referred to in Section 6.01 (b) of this Agreement, and shall replenish said account promptly before each quarter with sufficient funds to enable the Borrower to meet its obligations under Section 3.01 of this Agreement for such period; and (b) use the amount in said Project Account for financing the Borrower’s contribution to Project expenditures.
(a) For the purposes of carrying out Part A.2 of the Project, the Borrower, through MoE, shall enter into an agreement with NAEC (the NAEC Agreement), under terms and conditions satisfactory to the Association, including: providing, inter alia, (i) the transfer of a clear definition portion of the role Credit proceeds and responsibilities non-Credit proceeds counterpart funds to NAEC on a grant basis and the provision of each party thereto; (ii) in respect of any Scheme for renovation or construction under facilities, services and other resources to NAEC, required to enable NAEC carry out Part B A.2 of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works the obligation of NAEC to assist MoE in locations where such land is needed until the carrying out of Part A.2 of the Project in accordance with the terms and conditions set forth in this Agreement and in the PIP, including the obligation to keep separate records and accounts of operations, services, and expenditures related to Part A.2 of the Project and to provide to the Borrower the information necessary to enable the Borrower to comply with its obligations under Sections 4.01 and 4.02 of this Agreement.
(b) The Borrower, through MoE, shall exercise its rights and carry out its obligations under the NAEC Agreement in such a memorandum manner as to protect the interests of understanding has been concludedthe Borrower and the Association and to accomplish the purposes of the Credit, and, except as the Association shall otherwise agree, the Borrower shall not assign, amend, abrogate, terminate, waive or fail to enforce the NAEC Agreement or any provision thereof.

(c) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Association, on or about October 1, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase of each Batch, the adequacy of such eligibility criteria monitoring and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the evaluation activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into performed pursuant to paragraph (a) above shall be entered of this Section, on the progress achieved in the case carrying out of the Development Phase agreement prior Project during the period preceding the date of said report and setting out the measures recommended to commencement ensure the efficient carrying out of the Development Phase, Project and in case the achievement of the Implementation Phase agreement prior objectives thereof during the period following such date;
(d) review with the Association, by December 1, or such later date as the Association shall request, the report referred to commencement of the Implementation Phase.

(f) carry out jointly with the Association no later than 18 months after the Effective Date, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board a midterm review which shall: (i) ensure that any private land needed for water supply and other construction under assess the Project has been provided by overall progress in the owner implementation of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such landProject; and (ii) not commence such works in locations where such land is needed until such a memorandum review the performance of understanding has been concluded.the PFIs, the Beneficiary Communities and the CBOs; (iii) review the progress of performance monitoring indicators and trigger indicators for the second phase of the Project; and

(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesAssociation, policiesby June 30 of each year of Project implementation, proceduresstarting on June 30, time schedules and other provisions set forth therein2002, or such later date as the Association shall request, the report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure that indigenous people in the efficient completion of the Project area shall benefit fully from and the activities financed under achievement of the Projectobjectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter.
(ad) In respect prepare, under terms of each Batchreference satisfactory to the Association, and furnish to the Board Association, on or about December 1, 2002, or such later date as the Association shall enter into:
(i) request, a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO mid-term report integrating the results of the monitoring and WSUC.
(b) Each agreement to be entered into evaluation activities performed pursuant to paragraph (a) above shall be entered of this Section, on the progress achieved in the case carrying out of the Development Phase agreement prior Project and of measures included in the Program during the period preceding the date of said report and setting out the measures recommended to commencement ensure the efficient carrying out of the Development Phase, Project and in case the Program and the achievement of the Implementation Phase agreement prior objectives thereof during the period following such date;
(e) review with the Association, by January 15, 2003, or such later date as the Association shall request, the report referred to commencement in paragraph (d) of this Section, and, thereafter, take all measures required to ensure the efficient completion of the Implementation Phase.Project, Program and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter; and
(cf) Each agreement to be entered into pursuant to as part of the mid-term review mentioned in paragraph (ad) above shall be made on terms and conditions above, the Association may require the Borrower to prepare an action plan satisfactory to the Association, including: (i) a clear definition of with the role and responsibilities of each party thereto; (ii) in respect of any Scheme adjustments necessary for renovation or construction under Part B the efficient carrying out of the Project, communities for whom the Program and the achievement of the objectives thereof during the period following such Schemes are date. In such event, the Borrower shall not later than thirty (30) days after the conclusion of each such review, or such later date as the Association shall request, furnish to the Association said action plan, and shall thereafter carry out or cause to be carried out will be required to contributeout, up-front and such action plan in accordance with its terms.
2. The Borrower, through MoH, shall maintain the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities PIU with responsibilities for the provisionmanagement, in cash or in kind coordination, and monitoring of Operations the Project, with a structure and Maintenance of their respective Schemesfunctions satisfactory to the Association, and staff with qualifications and experience satisfactory to the Association.
3. The Board shall: (i) ensure that any private land needed Borrower, through MoH, shall maintain the TCU with responsibilities for water supply and other construction under the coordination of the technical aspects of Project has been provided by the owner of such land in a voluntary mannerimplementation, and in accordance with a memorandum of understanding, agreed with structure and functions satisfactory to the Association, between and staff with qualifications and experience satisfactory to the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concludedAssociation.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.” The provisions of this Schedule shall apply for the purposes of Section 3.01 (b) of this Agreement.
1. The Board Project shall be carried out by the Borrower with the assistance of the NBM. For this purpose, the Borrower shall maintain or cause to be maintained within NBM:
(a) a separate unit (the Apex Unit), with staff and other resources and terms of reference satisfactory to the Bank, responsible for the carrying out of the Project; and (b) arrangements, satisfactory to the Bank, with NBM, pursuant to which NBM shall continue to assist the Borrower in determining the compliance by PFIs with the conditions set forth in Part B of the Annex to this Schedule.
2. For the purpose of carrying out the Project, the Borrower shall, through the Apex Unit:
(a) relend to the PFIs the equivalent of the proceeds of the Loan under Subsidiary Financing Agreements entered into or to be entered into between the Borrower acting through the NBM as its Fiscal Agent and each such PFI, under terms and conditions which shall have been approved by the Bank, and which shall include, without limitation, those set forth in the Annex to this Schedule;
(b) monitor the overall execution of the Project and the carrying out by the PFIs of obligations under their respective Subsidiary Financing Agreements in accordance with policies and procedures satisfactory to the Bank; and
(c) take or cause to be taken all action necessary or appropriate on its part to enable the PFIs to perform in accordance with the provisions of their respective Subsidiary Financing Agreements all the obligations of the PFIs therein set forth, and not take or permit to be taken any action which would prevent or interfere with such performance.
3. The Borrower shall:
(a) enter into arrangements with each SO maintain policies and WSUGs, as the case may be, under such terms procedures adequate to enable it to monitor and conditions, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment evaluate on an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDPongoing basis, in accordance with indicators satisfactory to the objectivesBank, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the carrying out of the Project area shall benefit fully from and the activities financed under achievement of the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUCobjectives thereof.
(b) Each agreement prepare under terms of reference satisfactory to be entered into the Bank, and furnish to the Bank, on or about March 31, 1999, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) above shall be entered of this Section, on the progress achieved in the case carrying out of the Development Phase agreement prior Project during the period preceding the date of said report and setting out the measures recommended to commencement ensure the efficient carrying out of the Development Phase, Project and in case the achievement of the Implementation Phase agreement prior to commencement of objectives thereof during the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party theretoperiod following such date; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.and

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1. The Board Without limitation to the provisions of Section 5.02 of this Agreement, the Borrower shall:
(a) enter into arrangements with each SO carry out the environmental training program for DGI and WSUGs, as DGE described in the case may be, under such terms MMEMAP in a manner satisfactory to the Association;
(b) prepare specific requirements for environmental impact assessment and conditionsmitigation measures, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in with respect of each Scheme being to all civil works to be carried out by such SO under the Project Project, and include these requirements in accordance with the accounting manual prepared by bidding and contractual documentation regarding the Board as part implementation of its Implementation Manualssuch civil works; and
(iic) each SO carry out the public education, consultation and awareness program described in the MMEMAP.
2. The Borrower shall furnish ensure that, at all times during the execution of the Project:
(a) the qualifications, experience and performance of the staff within DGI, DRIs, MEEU and FER, in charge directly or indirectly of the implementation of any parts of the Project, shall be satisfactory to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the BoardAssociation;
(ib) ensure that eligibility criteria for FER, CC and the selection Steering Committee shall be maintained with functions, composition and staff with qualifications, experience and performance satisfactory to the Association;
(c) the relevant Ministries, Agencies and authorities (in particular, MPE and DGE) shall collaborate with DGI and DRIs in compliance with the provisions of SOs the EIA and Schemes the Project Implementation Plan, in particular, with respect to the appointment of individuals whose qualifications, experience, position and performance are satisfactory to the Association; (ii) select SOs , and Schemes who shall assist DGI and DRIs in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes ensuring proper implementation of the Project; and
(cd) The Board the proceeds of FER shall implement be used solely for the IPDP, in accordance with purposes of defraying the objectives, policies, procedures, time schedules cost of expenditures incurred for road maintenance and other provisions set forth therein, to ensure that indigenous people rehabilitation operations in the Project area shall benefit fully from the activities financed under the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case territory of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions satisfactory to the Association, including: (i) a clear definition of the role and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B of the Project, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective SchemesBorrower.
3. The Board Except as the Association shall otherwise agree, the Borrower shall: (i) ensure that any private land needed for water supply apply criteria, policies, procedures and other construction under arrangements set out in the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs Implementation Plan and the owner of such landFinancial Management Procedures Manual; and (ii) not commence such works amend or waive, or permit to be amended or waived, the EIA, the Project Implementation Plan and the Financial Management Procedures Manual or any provision thereof, in locations where such land is needed until such a memorandum manner which, in the opinion of understanding has been concludedthe Association, may materially and adversely affect the implementation of the Project.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1(a) The Borrower shall prepare and furnish to the Association a Project Implementation Manual in form and substance satisfactory to the Association setting out details of all procedures, guidelines, processes, timetables and criteria for the Project, including: (i) criteria for Subloans and Grants; and (ii) a requirement that a lease be granted to a Beneficiary for a period sufficiently long to enable that Beneficiary to carry out the specific Subproject under Part A of the Project, as specified in the Project Implementation Manual.
(b) The Borrower shall carry out the Project in accordance with the Project Implementation Manual and, except as the Association shall otherwise agree, shall not amend or waive any provision of the Project Implementation Manual if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the carrying out of the Project or the achievement of the objectives thereof.
2. The Board Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set forth in Schedule 5 to this Agreement, the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior to each payment an updated Scheme accounts; and (iii) Association, annually, a report integrating the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end results of the Implementation Phase monitoring and evaluation activities performed pursuant to paragraph (a) of each Batchthis Section, on the adequacy of such eligibility criteria and shall, if necessary, revise such criteria progress achieved in a manner satisfactory to the Association to accomplish the purposes carrying out of the ProjectProject during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance review with the objectivesAssociation, policieswithin two months of the submission of the report, proceduresor such later date as the Association shall request, time schedules and other provisions set forth thereinthe report referred to in paragraph (b) of this Section, and, thereafter, take all measures required to ensure that indigenous people the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter.
3. No later than eighteen (18) months after the Effective Date, the Borrower shall carry out, jointly with the Association and BNR a midterm review (the Midterm Review) of the progress made in carrying out the Project. The Midterm Review shall cover among other things:
(a) an assessment of (A) work programs prepared as of the date of the Midterm Review and the progress made in carrying out the said programs, (B) training provided under the Project, (C) procurement under the Project, (D) the extent to which actions described in the Project area shall benefit fully from indicators set out in Schedule 5 to this Agreement have been carried out, and (E) plans made or proposed for updating said indicators; and
(b) a review of the activities financed state of any works carried out under the Project.
(a) In respect of each BatchThe Borrower shall establish and thereafter maintain a Project Advisory Committee in a form and with functions, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO staffing and WSUC.
(b) Each agreement to be entered into pursuant to paragraph (a) above shall be entered in the case of the Development Phase agreement prior to commencement of the Development Phase, and in case of the Implementation Phase agreement prior to commencement of the Implementation Phase.
(c) Each agreement to be entered into pursuant to paragraph (a) above shall be made on terms and conditions resources satisfactory to the Association, including. PAC’s functions shall include the oversight and orientation of Program activities. The membership of PAC shall comprise: (i) a clear definition of the role Minister responsible for Agriculture, Animal Resources, and responsibilities of each party theretoForestry as Chairman; (ii) in respect of any Scheme for renovation or construction under Part B representatives of the Project, communities Ministries responsible for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kindFinance; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective Schemes.
3. Post Review. With respect to each contract not governed by paragraph 1 and 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. The provisions of this Schedule shall apply for the purposes of Section 3.01 (b) of this Agreement.
1. The Board DGH and ONEP shall have overall responsibility for the carrying out of this Project. For this purpose, the Borrower shall, through DGH and ONEP:
(a) enter prepare, no later than March 31 of each year, in consultation with the Beneficiaries a detailed program for construction and rehabilitation of rural water supply and sanitation systems, including a plan for allocation of budgetary and non-budgetary local resources, to be implemented during the following Fiscal Year and finalized before the September 30 of that year taking into arrangements with each SO and WSUGsaccount the observations of the Bank;
(b) prior to the start of works in the villages, as take all necessary measures for the case may be, under such terms and conditions, setting up of a WUA or any other management mechanism satisfactory to the Association, which shall include, inter alia, that: (i) bank in each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under village and reach an agreement satisfactory to the Project in accordance Bank on operation and maintenance responsibility with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the BoardWUA or said management mechanism;
(ic) ensure that eligibility criteria appropriate training for the selection operation and monitoring is provided to a representative of SOs and Schemes are satisfactory each WUA or other management mechanism acceptable to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) reviewBank, at prior to the end handing over of the Implementation Phase of each Batch, rural water supply system to be operated by the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Projectsaid WUA; and
(cd) Set up an MPT in each of the Priority Provinces, that shall consist of three (3) members, one of them being, when possible, a woman.
2. The Board shall implement the IPDPBorrower Shall:
(a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with the objectives, policies, procedures, time schedules indicators agreed upon between the Borrower and other provisions set forth therein, to ensure that indigenous people in the Bank the carrying out of the Project area shall benefit fully from and the activities financed under achievement of the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.objectives thereof;

The Borrower shall, for the purposes of carrying out the Project, until the Closing Date: (a) maintain at all times, a Project Coordinator with qualifications and experience satisfactory to the Association; and (b) maintain the PCU with functions and responsibilities and staff in adequate numbers, all satisfactory to the Association.
3. The Borrower shall:
(a) enter into arrangements maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with each SO the indicators set forth in Schedule 6 to this Agreement the carrying out of the Project and WSUGs, as the case may beachievement of the objectives thereof;
(b) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior Association, by November 15 of each year, a report integrating the results of the monitoring and evaluation activities performed pursuant to each payment an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;paragraph
(ia) ensure that eligibility criteria for of this Section, on the selection of SOs and Schemes are satisfactory to progress achieved in the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end carrying out of the Implementation Phase Project during the period preceding the date of each Batch, said report and setting out the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory measures recommended to ensure the Association to accomplish the purposes efficient carrying out of the ProjectProject and the achievement of the objectives thereof during the period following such date; and
(c) The Board shall implement the IPDP, in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the Project area shall benefit fully from the activities financed under the Project.

Post Review. With respect to each contract not governed by paragraph 2 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply. The provisions of this Schedule shall apply for the purposes of Section 3.01 (b) of this Agreement.
1. The Board Project shall be carried out by the Borrower with the assistance of the NBM. For this purpose, the Borrower shall maintain or cause to be maintained within NBM:
(a) a separate unit (the Apex Unit), with staff and other resources and terms of reference satisfactory to the Bank, responsible for the carrying out of the Project; and (b) arrangements, satisfactory to the Bank, with NBM, pursuant to which NBM shall continue to assist the Borrower in determining the compliance by PFIs with the conditions set forth in Part B of the Annex to this Schedule.
2. For the purpose of carrying out the Project, the Borrower shall, through the Apex Unit:
(a) relend to the PFIs the equivalent of the proceeds of the Loan under Subsidiary Financing Agreements entered into or to be entered into between the Borrower and each such PFI, under terms and conditions which shall have been approved by the Bank, and which shall include, without limitation, those set forth in the Annex to this Schedule;
(b) monitor the overall execution of the Project and the carrying out by the PFIs of obligations under their respective Subsidiary Financing Agreements in accordance with policies and procedures satisfactory to the Bank; and
(c) take or cause to be taken all action necessary or appropriate on its part to enable the PFIs to perform in accordance with the provisions of their respective Subsidiary Financing Agreements all the obligations of the PFIs therein set forth, and not take or permit to be taken any action which would prevent or interfere with such performance.

(b) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with indicators set forth in Schedule 6 to the Development Credit Agreement, the carrying out of the Project and the achievement of the objectives thereof;
(c) prepare, under such terms and conditions, of reference satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall and furnish to the Board prior Association not later than June 30 of each year during the execution of the Project, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (c) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date;
(d) review with the Association, by September 30 of each payment an updated Scheme accounts; and (iii) year throughout the Board execution of the Project, or such later date as the Association shall not make any payment to such SO until request, the accounts report referred to in subparagraph paragraph (iib) herein have been found satisfactory by of this Section, and, thereafter, take all measures required to ensure the Boardefficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of the said report and the Association’s views on the matter;
(i) ensure that eligibility criteria for maintain ST-CPASE and the selection of SOs Steering Committee with functions and Schemes are responsibilities and with qualified and experienced staff in adequate numbers, all satisfactory to the Association; (ii) select SOs maintain at all times as Project Coordinator a national of the Borrower with qualifications and Schemes in accordance with such eligibility criteriaexperience satisfactory to the Association; and (iii) review, maintain at the end all times as head of ST-CPASE a national of the Implementation Phase of each Batch, the adequacy of such eligibility criteria Borrower with qualifications and shall, if necessary, revise such criteria in a manner experience satisfactory to the Association Association;
(f) (i) carry out the studies referred to accomplish the purposes under Parts A.4 (b) and C.2 of the Project; and(ii) not later than February 28, 1999, submit the results and recommendations of the said studies to the Association for its review and comments; and (iii) promptly thereafter, implement the recommendations of the said studies, taking into account any comments thereon made by the Association.
(ca) The Board Borrower shall implement the IPDPcarry out, in accordance jointly with the Association, not later than one year after the Effective Date, a Mid-Term Review of the progress made in carrying out the Project. The said Mid-Term Review shall cover, among other things:
(i) progress in meeting the Project’s objectives, policies, procedures, time schedules ; and other provisions set forth therein, to ensure that indigenous people in (ii) the Project area shall benefit fully from performance by the activities financed Borrower of its respective obligations under the Project.
(ab) In respect of each BatchNot later than one month prior to the Mid-Term Review, the Board Borrower shall enter into:
(i) furnish to the Association, for review and comments, a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.
(b) Each agreement to be entered into pursuant to report covering items specified in paragraph (a) above shall be entered above, including an evaluation of the progress achieved in the case execution of the Development Phase agreement prior to commencement of Project and recommendations resulting from the Development Phase, and in case of studies conducted under the Implementation Phase agreement prior to commencement of the Implementation PhaseProject.
(c) Each agreement to be entered into pursuant to paragraph Promptly after completing such review, the Borrower shall carry out the recommendations emanating from the said review, as agreed upon between the Borrower and the Association.
3. The Borrower shall: (a) establish, in the aggregate, 5000 additional primary school teachers’ positions, over and above shall be made the number of positions existing on terms and conditions satisfactory its payroll as of June 30, 1998; (b) recruit qualified teachers to fill the Association, includingsaid positions as follows: (i) a clear definition first increment of the role and responsibilities of each party thereto2,000 teachers shall be recruited not later than September 30, 1998; (ii) in respect a second increment of any Scheme for renovation or construction under Part B of the Project1,500 teachers shall be recruited not later than September 30, communities for whom such Schemes are carried out will be required to contribute, up-front and through the relevant WSUG, all skilled and unskilled labor, whether in cash or in kind1999; and (iii) an under taking a third increment of 1,500 teachers shall be recruited by benefiting communities for the provisionnot later than September 30, in cash or in kind of Operations and Maintenance of their respective Schemes2000.
3. The Board shall: (i) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in a voluntary manner, and in accordance with a memorandum of understanding, agreed with the Association, between the WSUGs and the owner of such land; and (ii) not commence such works in locations where such land is needed until such a memorandum of understanding has been concluded.

Post Review. With respect to each contract not governed by paragraph 2 1 of this Part, the procedures set forth in paragraph 4 of Appendix 1 to the Consultant Guidelines shall apply.
1. Except as the Borrower shall otherwise agree, the Borrower shall, by March 31, 1999, employ the private operator to operate the water and sewerage systems on the basis of a management contract with terms and condition satisfactory to the Bank.
2. The Board Borrower shall:
(a) enter into arrangements with each SO maintain policies and WSUGs, as the case may be, under such terms procedures adequate to enable it to monitor and conditions, satisfactory to the Association, which shall include, inter alia, that: (i) each SO shall maintain separate accounts in respect of each Scheme being carried out by such SO under the Project in accordance with the accounting manual prepared by the Board as part of its Implementation Manuals; (ii) each SO shall furnish to the Board prior to each payment evaluate on an updated Scheme accounts; and (iii) the Board shall not make any payment to such SO until the accounts referred to in subparagraph (ii) herein have been found satisfactory by the Board;
(i) ensure that eligibility criteria for the selection of SOs and Schemes are satisfactory to the Association; (ii) select SOs and Schemes in accordance with such eligibility criteria; and (iii) review, at the end of the Implementation Phase of each Batch, the adequacy of such eligibility criteria and shall, if necessary, revise such criteria in a manner satisfactory to the Association to accomplish the purposes of the Project; and
(c) The Board shall implement the IPDPongoing basis, in accordance with the objectivesindicators agreed upon between the Borrower and the Bank, policies, procedures, time schedules and other provisions set forth therein, to ensure that indigenous people in the carrying out of the Project area shall benefit fully from and the activities financed under achievement of the Project.
(a) In respect of each Batch, the Board shall enter into:
(i) a Development Phase agreement with SOs as appropriate; and
(ii) an Implementation Phase tripartite agreement with a SO and WSUC.objectives thereof;
(b) Each agreement prepare, under terms of reference satisfactory to be entered into the Bank, and furnish to the Bank, by October 31 of each year, a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) above shall be entered of this Section, on the progress achieved in the case carrying out of the Development Phase agreement prior Project during the period preceding the date of said report and setting out the measures recommended to commencement ensure the efficient carrying out of the Development Phase, Project and in case the achievement of the Implementation Phase agreement prior to commencement of objectives thereof during the Implementation Phase.period following such date;
(c) Each agreement review with the Bank, by December 31 of each year, the report referred to be entered into pursuant in subparagraph (b) of this paragraph, and, thereafter, take all measures required to paragraph (a) above shall be made on terms and conditions satisfactory to ensure the Association, including: (i) a clear definition efficient completion of the role Project and responsibilities of each party thereto; (ii) in respect of any Scheme for renovation or construction under Part B the achievement of the Projectobjectives thereof, communities for whom such Schemes are carried out will be required to contribute, up-front based on the conclusions and through recommendations of the relevant WSUG, all skilled said report and unskilled labor, whether in cash or in kind; and (iii) an under taking by benefiting communities for the provision, in cash or in kind of Operations and Maintenance of their respective SchemesBank views on the matter.
3. The Board Borrower shall, until completion of the Project and thereafter as environmentally required: (ia) ensure that any private land needed for water supply and other construction under the Project has been provided by the owner of such land in monitor, on a voluntary manner, regular basis and in accordance with a memorandum standards and procedures satisfactory to the Bank, the quality of understandingthe water near the sea outfall at Alacati, agreed with including the Associationsampling of water for specific parameters, between to assess the WSUGs and the owner physical condition of such landsaid sea outfall; and (iib) not commence such works if corrective action is required, promptly take all measures necessary in locations where such land is needed until such a memorandum timely manner to restore the quality of understanding has been concludedthe water to standards acceptable to the Bank.
