PacifiCorp’s Rejection of Offer; Revival of Offer. If PacifiCorp does not accept the offered terms and conditions within thirty (30) days after receiving Seller's offer, Seller (or the applicable Affiliate of Seller) may enter into an agreement to sell the Expansion Energy to a third party on terms and conditions no more favorable to the third party than those offered to PacifiCorp, provided such sale of Expansion Energy may not in any way impact or alter PacifiCorp’s rights, obligations or entitlements under this Agreement. If Seller (or its Affiliate) wishes to enter into an agreement with a third party on terms more favorable to PacifiCorp than those previously offered to PacifiCorp under this section, Seller shall first offer (or cause its Affiliate to offer) the revised terms and conditions to PacifiCorp under this section.

PacifiCorp’s Rejection of Offer; Revival of Offer. If PacifiCorp does not accept the offered terms and conditions within thirty (30) days after receiving Seller’s offer, then Seller (or the applicable Affiliate of Seller) may enter into an agreement to sell the Expansion Energy (together with any increased Capacity Rights and Green Tags associated therewith) to a third party at a price greater than or equal to ninety-five percent (95%) of the price offered to PacifiCorp, provided such sale of Expansion Energy may not in any way adversely impact or alter PacifiCorp’s rights or obligations under this Agreement. If Seller (or its Affiliate) wishes to enter into an agreement with a third party at a price that is lower than ninety-five percent (95%) of the price previously offered to PacifiCorp under this Section 7.1.2, then Seller shall first offer (or cause its Affiliate to offer) the lower price to PacifiCorp pursuant to the requirements of this Section 7.

  • Certification of claims by Statutory Auditors Any claim or document provided by the Concessionaire to the Authority in connection with or relating to receipts, income, payments, costs, expenses, accounts or audit, and any matter incidental thereto shall be valid and effective only if certified by its Statutory Auditors. Upon revision of the Bulletin by the Design Professional and approval thereof by the Owner, the Owner shall again submit to the Contractor a proposed Change Order for the purpose of adding the revised Bulletin to this Contract. If the Owner decides to retain the Sole Source in the Change Order and Contractor cannot acquire the full contractually required warranties from the Sole Source, Contractor shall be held only to the warranty terms and schedule obtainable from the Sole Source.
