Ownership of Trade Marks. Subject always to Clauses 7.2 and 7.4, the Licensee shall, at its expense, be responsible for the selection, registration and maintenance of all Trade Marks which it employs in connection with Licensed Product and shall own and control such Trade Marks. Nothing in this Agreement shall be construed as a grant of rights, by licence or otherwise, to the Licensor, ViiV, or any of their Affiliates to use such Trade Marks for any purpose. Further, nothing in this Agreement shall be construed as a grant of rights, by licence or otherwise, to the Licensee to use any Trade Marks owned by the Licensor, ViiV, and/or any of their Affiliates anywhere in the world for any purpose.

Ownership of Trade Marks. 6.1 The Licensee agrees that the ownership of the Xxxxx Trade Marks and the goodwill relating thereto shall as between the Grantor and the Licensee always remain vested in the Grantor both during the period of this Agreement and thereafter and that nothing herein shall give to the Licensee any right, title or interest in the Xxxxx Trade Marks except the Non Exclusive Right to use the Xxxxx Trade Marks in accordance with the terms of this Agreement.
Ownership of Trade Marks. The Licensee may seek registration of the Trade-marks or any other trade-mxxx for use in association with FlameOut in any country of the Territory at its own expense. The Licensee shall own such trade-mxxx registrations and all associated rights and accrued good will, in accordance with the terms of this Agreement.
Ownership of Trade Marks. (1) The Parties hereby recognize and agree that ownership of the Licensed Marks, including any applications or registrations therefor, is and shall reside with Licensor and that Licensor has valuable rights in and to said Licensed Marks. All rights not expressly granted herein to Licencee are retained and reserved by Licensor.   • Ownership of Trademarks Each Party acknowledges the ownership right of the other Party in the Marks of the other Party and agrees that all use of the other Party's Marks will inure to the benefit, and be on behalf, of the other Party. Each Party acknowledges that its utilization of the other Party's Marks will not create in it, nor will it represent it has, any right, title, or interest in or to such Marks other than the licenses expressly granted herein. Each Party agrees not to do anything contesting or impairing the trademark rights of the other Party.

  • Ownership of Marks Each party acknowledges and agrees that (a) the other party's Marks are and shall remain the sole property of the other party, (b) nothing in the Agreement shall confer in a party any right of ownership or license rights in the other party's Marks, and (c) neither party shall register the other party's Marks in any jurisdiction. In addition, Licensee acknowledges and agrees that (i) the Marks of Third-Party Licensors are and shall remain the sole property of such Third- Party Licensors, (ii) nothing in the Agreement shall confer in Licensee any right of ownership or license rights in the Marks of Third-Party Licensors, and (iii) Licensee shall not register the Marks of Third-Party Licensors. Without limiting the generality of the foregoing, Licensee agrees not to use or adopt any trade name, trademark, logo or service mark which is so similar to Fannie Mae's Marks or the Marks of Third-Party Licensors as to be likely to cause deception or confusion, or which is graphically or phonetically similar to any of Fannie Mae's Marks or the Marks of Third-Party Licensors.

  • Ownership of Data All Data transmitted to the Operator pursuant to the Service Agreement is and will continue to be the property of and under the control of the LEA. The Operator further acknowledges and agrees that all copies of such Data transmitted to the Operator, including any modifications or additions or any portion thereof from any source, are subject to the provisions of this DPA in the same manner as the original Data. The Parties agree that as between them, all rights, including all intellectual property rights in and to Data contemplated per the Service Agreement shall remain the exclusive property of the LEA.

  • Ownership of Works The Executive agrees to promptly disclose in writing to the Company all inventions, discoveries, developments, improvements and innovations (collectively referred to as “Inventions”) that the Executive has conceived or made during his employment with the Company; provided, however, that in this context, “Inventions” are limited to those which (i) relate in any manner to the existing or contemplated business or research activities of the Company and its affiliates; (ii) are suggested by or result from the Executive’s work at the Company; or (iii) result from the use of the time, materials or facilities of the Company and its affiliates. All Inventions will be the Company’s property rather than the Executive’s. Should the Company request it, the Executive agrees to sign any document that the Company may reasonably require to establish ownership in any Invention.

  • Protection of Trademarks Such Grantor shall, with respect to any Trademarks that are material to the business of such Grantor, use commercially reasonable efforts not to cease the use of any of such Trademarks or fail to maintain the level of the quality of products sold and services rendered under any of such Trademarks at a level at least substantially consistent with the quality of such products and services as of the date hereof, and shall use commercially reasonable efforts to take all steps reasonably necessary to ensure that licensees of such Trademarks use such consistent standards of quality, except as would not reasonably be expected to have a Material Adverse Effect.

  • Authorized Use of Trademarks Any required consent and authorization has been obtained for the use of any trademark or service xxxx in any advertising and supplemental sales literature or other materials delivered by the Company to the Dealer Manager or approved by the Company for use by the Dealer Manager and, to the Company’s knowledge, its use does not constitute the unlicensed use of intellectual property.
