In any underwritten offering in which shares of the Preferred Stockholders are to be included, if the managing underwriter requests a limitation in the number of such shares to be included therein, then any such reduction shall be borne ratably by the Preferred Stockholders in proportion to the number of shares held by each that carry registration rights.

No underwriting agreement will result in liability of a Stockholder or Nortel Networks in excess of the net proceeds from the offering received by such Stockholder or Nortel Networks, including any liability under Section 2.5 of this Agreement.
Other Matters with Respect to Underwritten Offerings. In the event that Registrable Shares are sold pursuant to a Registration Statement in an underwritten offering pursuant to Section 2.1, the Company agrees to use its commercially reasonable efforts to cause (a) its legal counsel to render customary opinions with respect to the Registration Statement to the underwriters and to selling Stockholders that represent that they have an obligation to perform a due diligence review process under the Securities Act of 1933 and (b) its independent public accounting firm to issue customary “cold comfort letters” with respect to the Registration Statement to the underwriters and selling Stockholders that represent that they have an obligation to perform a due diligence review process under the Securities Act of 1933.
